BY-LAW NO.2008-109
A BY-LAW TO AUTHORIZE THE EXECUTION OF AN
EASEMENT AGREEMENT BETWEEN CHRISTINE
MICHELE SZORENYI AND THE MUNICIPALITY OF
BAYHAM
AND WHEREAS Section 11 of the Municipal Act, 2001, S.O. 2001, c. 25 as amended provides
that a lower tier municipality may pass by-laws respecting Highways,including parking and traffic
on highways;
AND WHEREAS Section 8 of the Municipal Act,2001, S.O. 2001,c.25 as amended provides that
a municipality has the capacity,rights,powers and privileges of a natural person for the purpose of
exercising its authority under this or any other Act.
AND WHEREAS the Council of the Corporation of the Municipality of Bayham deems it
necessary and expedient to execute an easement agreement with Christine Michele Szorenyi to
permit the operation and maintenance of an irrigation and drainage system.
NOW THEREFORE THE COUNCIL OF THE. CORPORATION OF THE
MUNICPALITY OF BAYHAM ENACTS AS FOLLOWS:
1. THAT the Mayor and Clerk be and are hereby authorized and directed to execute the
Easement Agreement with Christine Michele Szorenyi aixed hereto and forming part of
this By-law as Schedule"A".
2. THAT the executed agreement shall be registered in the Land Registry Office for the
Registry Division of Elgin(No. 11).
3. AND THAT this by-law shall come into full force and effect upon final passing.
READ A FIRST, SECOND AND THIRD TIME AND FINALLY PASSED THIS 20th
DAY OF NOVEMBER,2008.

BETWEEN:
The Corporation of the Municipality of Bayham
P.O.Box 160, Straffordville,Ontario NOJ 1Y0
(hereinafter called the"Owner")
OF THE FIRST PART
-and-
Christine Michele Szorenyi
14 Tillson Avenue,Tillsonburg,Ontario N4G 2Z6
(hereinafter called the"Grantee")
OF THE SECOND PART
WHEREAS the Owner is the owner in fee simple of the property of the property described in
Schedule"A"hereto (the"Property");
AND WHEREAS the Grantee is the former owner of the Property and requires an Easement over
the Property for the purposes of irrigation and drainage,including the construction and maintenance
of underground pipelines and installation and maintenance of pumper or pumps for irrigation
purposes and for access to her adjacent lands;
AND WHEREAS the Owner has agreed to grant to the Grantee an Easement in perpetuity to enter•
upon the Property for the said purpose on the terms hereafter set forth;
NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the payment by
the Grantee to the Owner in the amount of Two Dollars($2.00) and consideration of the due and
valid transfer of the.property from the Grantee to the Owner, and other good and valuable
consideration,the receipt and sufficiency of which is hereby acknowledged,the parties hereto agree
as follows:
1. The Grantee shall have a free,uninterrupted,and unobstructed right of easement in perpetuity
to enter upon the. Property for the purpose of using, repairing, inspecting, replacing,
removing, altering, operating and maintaining an irrigation and drainage system and all
associated works(including irrigation pumps)(hereinafter called the"Associated Works"),
which the Grantee may deem necessary or convenient thereto for.the purposes of running an
irrigation system on any lands owned by the Grantee which lie adjacent to the Property and
for the purpose of accessing her adjacent lands.The Owner shall provide access of adequate
width and strength for fully loaded farm.equipment to each field owned by the Grantee.The
Grantee shall exercise these rights subject to the provisions of this Agreement.
2. The Grantee may not use the Easement for any purpose other than the purpose set out in
paragraph 1 above.
3. The Grantee will,at her own expense,as soon as reasonably possible after any work on the
Property by the Grantee or at her direction,remove all surplus soil,fill in all excavations and
restore all fences and other structures and obstructions and restore the land surface and
improvements thereon to the same condition as prior to the commencement of any such work
or any subsequent work thereto and,without limiting the generality of the foregoing, shall
from time to time do whatever grading,leveling,paving,landscaping of the Property as may
be required as a result of the exercise by the Grantee of her rights in relation to the said
easement.
4. The Grantee agrees to give seventy-two (72) hourswritten notice to the Owner before the
commencement of any work which may affect the Property and before entering in, on or
upon the Property for the purposes of exercising her rights under this Agreement.

5. The Grantee covenants and agrees that she shall indemnify and save harmless the Owner for
all manner of actions,causes of action,claims,demands,actions;suits,proceedings,losses,
costs,including reasonable legal costs,damages and any other liability of any kind the Owner
may incur in connection with any actions by the Grantee,her servants, agents,workers or
employees under this Agreement.
6. The Grantee covenants and agrees that she shall fully indemnify and save harmless the
Owner from all manner of actions, causes of action, claims, demands, actions, suits,
proceedings,losses,costs;including reasonable legal costs, damages and any other liability
of any kind arising in any fashion whatsoever from the existence of or presence of the
irrigation equipment used in the.Associated Works.
7. The Owner covenants and agrees with the Grantee that should the Owner require the Grantee
to relocate the irrigation equipment used in the Associated Works,or any part thereof,the
Owner so requiring such relocation shall give the Grantee reasonable notice in writing
thereof and the Grantee shall relocate all the irrigation equipment used in the Associated
Works as long as a location satisfactory to the Grantee is available and the Owner shall bear
the reasonable costs of such relocation.

8. The Grantee shall not assign, transfer, sell or otherwise dispose of her rights under this•
Easement in whole or in part without the prior written consent of the Owner,which consent
shall not be unreasonably withheld.
9. 'This Agreement shall extend to and be binding upon and enure to the benefit of the Owner
and the Grantee and their respective successors and assigns.
10. This Agreement shall be read with all changes in gender and in number as circumstances
require.

7. The Owner covenants and agrees with the Grantee that should the Owner require the Grantee
to relocate the irrigation equipment used in the Associated Works, or any part thereof,the
Owner so requiring such relocation shall give the Grantee reasonable notice in writing
thereof and the Grantee shall relocate all the irrigation equipment used in the Associated
Works as long as a location satisfactory to the Grantee is available and the Owner shall bear
the reasonable costs of such relocation.
8. The Grantee shall not assign, transfer, sell or otherwise dispose of her rights under this•
Easement in whole or in part without the prior written consent o f the Owner,which consent
shall not be unreasonably withheld.
9. This Agreement shall extend to and be binding upon and enure to the benefit of the Owner
and the Grantee and their respective successors and assigns.

10. This Agreement shall be read with all changes in gender and in number as circumstances
require.
