BY-LAW NO. 2001-72
A BY-LAW TO AUTHORIZE THE PURCHASE OF REAL
PROPERTY IN THE FORMER VILLAGE OF VIENNA,
MUNICIPALITY OF BAYHAM
DESCRIBED AS PLAN 54 LOTS 1 &ARP 11 R 2549 PART 1
WHEREAS Section 191 (1)of the Municipal Act,R.S.O. 1990 Chapter M45 as amended authorizes
municipalities to pass by-laws for acquiring or expropriating any land required for the purposes of the
corporation, and for erecting and repairing buildings thereon, and for making additions to or alterations
of such buildings,and may sell or otherwise dispose of the same when no longer required;
AND WHEREAS the Council of the Municipality of Bayham is desirous of acquiring real property
for the purpose of the corporation, for a sum of thirty-two thousand dollars($32,000.00)for property
located in the former Village of Vienna,Municipality of Bayham, described as:
Plan 54 Lots 1 &ARP 11 R 2549 Part 1
AND WHEREAS the Council of the Municipality of Bayham deems it necessary to approve the
Agreement of Purchase and Sale by by-law;
NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE MUNICPALITY
OF BAYHAM ENACTS AS FOLLOWS:
1. THAT the Council of the Municipality of Bayham authorizes the Mayor and Clerk to execute
such documents as may be necessary to provide for the purchase of real property from
Elizabeth Muhlbock being:
Plan 54 Lots 1 &ARP 11 R 2549 Part 1
2. THAT the purchase price be thirty-two thousand dollars {$32,000.00), and the balance of
thirty-one thousand and nine hundred dollars ($31,900.00) be payable to the Vendor on
September 28,2001;
3. AND THAT the said Agreement of Purchase and Sale is attached hereto as Schedule "A" and
forms part of this By-law.

The entire balance of the purchase price,subject to any adjustments,shall become due on the closing date.
This offer is conditional on:
1. as part of this transaction,the Purchaser severing a thirty-three(33)foot width parcel from the south side of the property described above,to be
transferred back to the Vendor,being merged in title with the Vendor's parcel of land to the south,as shown on attached sketch.
2. the Purchaser will catty out and be responsible for the required survey and costs for preparation of documents to complete the transaction.
3. the Vendor will be responsible for her own solicitor's fees.
4. the Vendor agrees to sign all documents required to complete the transaction and agrees to not file any objections nor oppose required Official Plan
or Zoning By-law amendments in regard to the proposed use of this property by the Purchaser.
5. the Purchaser shall have the right to enter upon the property at any time and from time to time until completion,and carry out thereon any inspection
etc.as it deems necessary.
The Vendor warrents and represents unto the Purchaser:
1. that no hazardous waste or substance has been stored,treated or disposed of and that there are no underground storage tanks on the property to the
best of her knowledge and beliet and that
2. the Vendor has no notice and is not aware of any actual,pending or threatened action or proceedings relating to the condition of the property or to the
violation,actual or alleged,of any environmental health or safety statutes,regulations or other lawful re.quirements.
These warrants and representations shall not merge in but shall survive completion.
By written notice given to the Vendor at any time prior to completion,the Purchaser may terminate this agreement of purchase and sale if the Purchaser
determines that an environmental problem exists on the property,of which the Purchaser shall be the sole judge.
Upon giving of such written notice the agreement of purchase and sale shall be at an end,the deposit shall forthwith be returned to the Purchaser without
interest and the Vendor end the Purchaser shall thereafter be under no obligation or liability the one to the other in respect of anything contained or arising
here£rom.
This agreement is subject to formal approval by by-law of the Council of the Municipality of Bayham.

in this Agreement and save and except for{a)any registered restrictions or covenants that run with the land,provided that such are complied with; (b) any registered
municipal agreements and registered agreements with publicly regulated utilities providing such have been complied with,or security has been posted to ensure compliance
and completion,as evidenced by a letter from the relevant municipality or regulated dilly,(o)any minor easements for the supply of domestic utility or telephone services
to the property or adjacent properties;and(d)any easements far drainage,storm or sanitary ire,public utility lints,telephone lines,cable television lines or other
services vmkh do not materially affect the present use of the property.lrwithin the specified times referred to in paragraph B any valid objections to title or to arty outstanding
work order or deficiency notice,or to the fact the said present use may not lawfully be continued,or that the principal building may not be insured against risk of tire is made
