BY-LAW NUMBER 2000—88
Being a by-law to establish the
Port Burwell Marine Museum Committee
WHEREAS the Council of the Corporation of the Municipality of Bayham is desirous
that a Committee be established to be responsible for the maintenance, service, promotion
and operation of the Port Burwell Marine Museum under the jurisdiction of the
municipality;
AND WHEREAS the Council is desirous that such provision be approved by By-law;
THEREFORE BE IT RESOLVED THAT the Council of the Corporation of the
Municipality of Bayham enacts as follows:
1. THAT the Council of The Corporation of the Municipality of Bayham hereby
establishes a committee to be known as the "Port Burwell Marine Museum
Committee"whose structure is set out in Schedule"A" attached hereto and
forming part of this by-law.
2. THAT the said Committee shall be considered as a Committee of Council and all
members of the Committee shall be appointed by Council as set out in the
structure.
3. THAT the said Committee shall operate in accordance with the said Structure
being hereby adopted.
4. THAT this By-law shall come into full force and effect on the date of its passage.

PORT BURWELL MARINE MUSEUM COMMITTEE STRUCTURE
Name This Committee shall be called the Port Burwell Marine Museum Committee(the
"Committee").
Statement of Purpose
The Port Burwell Marine Museum
The Port Burwell Marine Museum has been established to preserve and record the rich marine
heritage of Port Burwell, and its Lighthouse on the North Shore of Lake Erie.
The museum and historic lighthouse are owned and operated by the Corporation of the
Municipality of Bayham. The two sites are managed by the Port Burwell Marine Museum
Committee.
The Mandate of this Museum Committee is to collect, preserve, research, exhibit and interpret
the collection of historical artifacts, on behalf of the Municipality.
The museum collection will focus on marine artifacts with ancillary artifacts that illustrate the
relationships between marine life on the lake together with domestic and commercial life of the
village as a port on Lake Erie.
The museum and lighthouse will serve the inhabitants of Port Burwell, Bayham and Elgin
County with a strong appeal to tourists visiting this region of Ontario.
This Statement of Purpose may not be altered without the approval of the Council of the
Municipality of Bayham with advice from the Port Burwell Marine Museum Committee.
Objectives
The Committee shall be established to be responsible for the maintenance, service and
operation of the museum, as outlined in the statement of purpose,being subject to budgetary
requirements and limits, as approved by the Council of the Municipality of Bayham, following
the procedures and policies of the Municipality of Bayham, as applicable.
Policy& Procedure for Service and Operation
Ownership of any and all donated items shall lie with the Municipality of Bayham,who will
provide adequate insurance coverage, including coverage of on loan items, being subject to
consideration of recommendations of the Committee.
The Municipality will provide appropriate Municipal staff resources to assist the Committee as
necessary.
Bequests and financial donations will be accounted for through Municipal administration.

Policy& Procedure for Service and Aeration (continued)
Authority for acquisition and disposal of Museum items/artifacts lies with the Council of the
Municipality upon recommendation of the Committee.
The Committee will be responsible for the preparation and review of policy and procedures
for service and operation, and long-term planning goals for the museum.
Members of the Committee will be responsible to interview, select and hire suitable applicants
for staffing of the Museums, assisted by Municipal staff; as appropriate,within the guidelines of
the annual operating budget as approved by Council. Members of the Committee, assisted by
Municipal staff, as appropriate, will also be responsible for the day to day supervision of
seasonal staff.
The Committee will submit the Annual Operating Budget Requirements to Municipal
Administration in December or earlier each year.
The Committee will prepare, review and submit Long-term Capital Projects to the Municipal
Administration annually as required.
Structure
Membership
The Committee shall consist of a minimum of three (3), and no limit of maximum number of
volunteer members, being appointed for a 3-year term,the first term ending December 31, 2003,
plus one member of Council, whose term shall be the same as Council. All members will remain
in office until their respective successors are appointed by Council.
Meetings
The Committee shall meet on a regular and as needed basis, a minimum of eight (8)times a
year, at a time and place as agreed by the Committee members. Special meetings may be
called by the Chairman or at the request of two Committee members.
Quorum shall be 50% +1 of members being present.
Deputations shall be held at the beginning of each meeting. All meetings shall go"In Camera"
at the discretion of the Chairman, or a majority vote of members present, subject
to the provisions of the Municipal Act.
Election Nominations for Officers shall be held in November for the following year.
Year end shall be December 31. New Officers assume positions January 1.
Officers Officers shall consist of a Chairman, and a Secretary,selected from the members,
holding office for a one year term,being eligible for re-election. An Acting
Chairman shall be appointed in the absence of the Chairman.

Duties of Officers
Chairman
-Prepare an agenda for each meeting(with the assistance of the Secretary).
-Call the meeting to order at the specified time.
-Sign minutes upon approval.
-Be organized and informed and conduct meetings in an orderly manner.
-Make announcements of interest to members.
-Make him/herself aware of the business to come regularly before the meeting.
Secretary
-Keep accurate record of proceedings of meetings (minutes).
-Prepare an agenda, with the assistance of the Chairman.
-See that old business is brought to the attention of the Chairman.
-Keep a current list of members, and an attendance record.
-Prepare a list of current and proposed members (approved annually by the
committee), and the executive for the upcoming year, forwarding to the
Municipal Office for Council's consideration prior to the end of the
current year.
-If unable to attend a meeting, sees that the minute book and other correspondence
and information are forwarded to the Chairman prior to the meeting.
-Take charge of all documents belonging to the Committee.
-Call the meeting to order in absence of Chairman, and presides until an
Acting Chairman is appointed, which should be immediately.
-Forward any invoices and receipts promptly to the Municipal Office as required.
-In the absence of the Secretary, an Acting Secretary shall be appointed.
Members
-Shall be responsible to attend meetings regularly, at the appointed time.
-Shall support the purpose and objectives of the Committee.
-No member shall exercise the right to more than one vote.
New Members
Potential new members shall attend a minimum of three(3)regular meetings of
the Committee prior to consideration for appointment as a member. The
Committee shall recommend names of volunteers to Council for appointment
to the Committee.
Absentee
If a member misses more than three(3) consecutive meetings, except for health or
special circumstances, the remaining members of the Committee may request
Council to appoint a recommended replacement for the remainder of the term.
