1. The Head and the Treasurer are hereby authorized on behalf of the Municipality to

the Head and Treasurer for the moneys so borrowed, with interest, which may be
paid in advance or otherwise, at a rate not exceeding per centum per annum.
2. All sums borrowed pursuant to the authority of this by-law, as well as all other sums
borrowed in this year and in previous years from the said Bank for any or all of the
purposes mentioned in the said Section 329, shall, with interest thereon, be a charge
upon the whole of the revenues of the Municipality for the current year and for all
preceding years as and when such revenues are received.
3. The Treasurer is hereby authorized and directed to apply in payment of all sums
borrowed as aforesaid, together with interest thereon, all of the moneys hereafter
collected or received either on account or realized in respect of taxes levied for the
current year nd preceding years or from any other source which may lawfully be
applied for such purpose.

A By - law to authorize a Franchise Agreement between the
Corporation and Natural Resource Gas Limited
Ok
WHEREAS the Council of the Corporation deems it
expedient to enter into the attached franchise agreement with
Natural Resource Gas Limited ;
AND WHEREAS the Ontario Energy Board by its Order
issued pursuant to the Municipal Franchises Act on the
15th day of October , 1981 , has approved the
terms and conditions upon which and the period for which the
franchise provided for in the attached agreement is proposed to
be granted , and has declared and directed that the assent
of the municipal electors in respect of this By- law is not
necessary .
NOW THEREFORE BE IT ENACTED :
1 . That the attached franchise agreement between the
Corporation and Natural Resource Gas Limited is hereby authorized
and the franchise provided for therein is hereby granted .
2 . That the Reeve and Clerk are hereby authorized
and instructed on behalf of the Corporation to enter into and
execute under its corporate seal and deliver the aforesaid
agreement which agreement is hereby incorporated into and shall -
form part of this By- law .

NATURAL RESOURCE GAS LIMITED
Hereinafter called the "Company "
OF THE FIRST PART
- and-
THE CORPORATION OF THE VILLAGE OF VIENNA
Hereinafter called the "Municipality "
OF THE SECOND PART
WHEREAS the Company desires to distribute and sell
gas ( which term shall mean and include natural gas , manufactured
gas , synthetic gas , or liquefied petroleum gas , and includes
any mixture of natural gas , manufactured gas , synthetic gas
or liquefied petroleum gas , but does not include a
liquefied petroleum gas that is distributed by means other
than a pipe line ) in the Municipality upon the terms and
conditions hereinafter set forth .
AND WHEREAS by By - Law passed by the Council of the
Municipality , the Reeve and Clerk of the Municipality have
been authorized and directed to execute , seal and deliver this
AgreeMe t on behalf of the Municipality .

NOW THEREFORE THIS AGREEMENT WITNESSETH that for
valuable consideration , ( the receipt and sufficiency of

1 . The consent , permission and authority of the Municipality
are hereby given and granted to the Company , to lay down ,
maintain and use pipes and other necessary -works for the
transmission and distribution of gas on ,, in , • under , along,
or across any highway under the jurisdiction of the Council

of the Municipality , including therein the right from time
to time and at any time , to survey , construct , lay , maintain ,
inspect , alter , repair , renew , remove , abandon , replace ,
reconstruct , extend , use and operate in , through , upon , under
. along and across the same or any of them or any part or
parts of them , such transmission and distribution mains ,
pipes , lines , services and works ( with any and all necessary
or incidental apparatus , attachments , appliances , arrangements
for cathodic protection , regulators , valves , curb boxes ,
safety appliances and other suchlike appurtenances ) which
the Company may desire from time to time and at any time fOr
the transmission of gas in and through the Municipality and
for a gas distribution system and any extension or extensions
from time to time and at any time to enter upon , open up ,
dig , trench , use and occupy such highways or any part or
parts of them for any of the purposes aforesaid and further
together with the right from time to time and at all times
to use ,and operate a gas transmission and distribution system
in the Municipality and to transmit gas in and through the

Municipality and to provide gas service to any resident or

residents of the Municipality , and to bring in , ' transmit ,
produce , distribute , supply and sell gas in and .jthrough
the Municipality for fuel , heat and power .
2 . The company shall well and sufficiently restore forthwith
to as good condition as they were in before the commencement
of the Company ' s operation to the satisfaction of the
Municipal Engineer ( which term means from time to time such
employee bf the Municipality as the Municipality shall have
designated as such for the purposes of this Agreement , or
failing such designation , the senior employee of the
Municipality . for the time being charged with the administration
of public works and highways in the Municipality ) all highways ,

squares and public places which it may excavate or interfere
with in the course of laying , constructing , or repairing
or removing of its mains , pipes , regulators , valves , curb
boxes , safety appliances and other appurtenances and. shall
make good any settling or subsidence thereafter caused by
such excavatidn , and further , in the event of the Company
failing At any time to do any work required by this Section
the Municipality may forthwith have such work done and
charged to and collect from the Company the cost thereof and
the Company shall on demand pay any reasonable account therefor
certified by the Municipal Engineer .
3 . The Company shall at all times wholly indemnify the
Municipality from and against all loss , damage and injury
and expense to which the Municipality may be put by reason
of any damage or injury to persons or property resulting from
the imprudence , neglect or want of skill of the employees or
agents of the Company in connection with the construction ,
repair , maintenance or operation by the Company of any of
•
its works in the Municipality .
4 . All new ( or renewal ) mains , pipes , lines and works
installed by the Company under this By - Law shall be constructed
and laid in accordance with good engineering and constructing
practices . Except in case of emergency ,
( a ) no excavation , opening or work ( exclusive of service
connections from the street main to the property line )
which will disturb or interfere with the travelled surface
of any highway shall be undertaken or commenced by the
Company without written notice to such officer or the
Municipality as may from time to time be appointed by
the Council of the Municipality for the purpose of
general supervision over its highways ( hereinafter referred
to as " the said officev of the Municipality " , which term
shall include the person acting in his stead in the event
of his absence from duty ) , such notice to be given at
least 24 hours in advance of commencing such work unless
otherwise agreed to by the said officer of the Municipality
and
(b ) before laying or installing any new ( or renewal )
• mains , pipes , lines and works ( exclusive of service
connections from the street main to the property line ) ,

the Company shall first file with the said officer of
the Municipality a preliminary map or plan showing
what it proposes to lay or install and the proposed
location thereof and shall also check with and obtain
the written approval of the said officer of the
Municipality as to such proposed location ,
•
5 , Insofar as is reasonably practicable , all lines and
works constructed or installed by the Company shall be .
placed underground and , except where it shall be necessary
to cross a highway , along the sides of the highway . All
lines and ' works constructed by the Company shall be so
constructed as when completed not to obstruct or interfere
with or render more difficult or dangerous the use of the '
highway or any municipal sewers , water pipes , drains , bridges ,
culverts or ditches thereon or therein , or other municipal
works or improvements thereon or therein or the improvement
or repair thereon , and wherever any such line shall be
carried across an open drainage ditch , it shall be carried
either wholly under the bottom thereof or above the top thereof ,
so as not in any way to interfere with the carrying capacity
•
of such ditch .
6 . The Company shall use at all times proper and practible
means to prevent the escape or leakage of gas from its mains
and pipes and the causing of any damage or injury therefrom
to any person or property .
7 . The rates to be charged and collected and the terms of
service to be provided by the Company for gas supplied by it
under this franchise shall be the rates and the terms of
service approved or fixed by the Ontario Energy Board or by
any other person or body having jurisdiction to approve or
fix rates to be charged and collected or terms of services to
be provided by the Company for gas supplied by it shall be "
made in accordance with the Ontario Energy Board Act , R. S . 0 . •
1980 , Chapter 332 , as amended from time to time or any other
statute regulating such application . •

8 . The Municipality will not build or permit any Commission
or other public utility or person to build any structure or

structures encasing any mains or pipes of the Company .
9 ( a ) This Agreement and the respective rights and obligations
401 hereunto of the parties hereto are hereby declared to be
subject to the provisions of all regulating statutes and to
all orders and regulations made thereunder and from time to
time remaining in effect ; and in event of any dispute or
disagreement between the parties hereto as to the meaning
or interpretation of anything herein contained or as to the
performance or non-performance by either of such parties
of any of the provisions hereof or as to the respective
rights and obligations of the parties hereto hereunder,
• either or such parties may refer such dispute or disagreement
to arbitration under the provisions of Paragraph 9 ( b ) hereof .
( b ) Whenever the Municipal Arbitrations Act , R . S . O . 1980 ,
Chapter 304 shall extend and apply to the Municipality any
reference to arbitration pursuant to the provisions of Pargraph
9 ( a ) hereof shall be to the Official Arbitrator appointed
under the Act and shall be governed by; the provisions of that
Act . At any other time the procedure upon an arbitration
pursuant to the provisions of the said: Paragraph 9 ( a ) shall
be as follows :
Within twenty days after the written request of either
of the parties hereto for arbitration each of them
shall appoint one arbitrator and the two so appointed
shall , ' within twenty days after the expiring of such
twenty . day period select a third . In case either of
the parties hereto shall fail to name an arbitrator
within twenty days after the said written request for
arbitration , the arbitrator appointed shall be the
only arbitrator . In case the two arbitrators so appointed
are unable to agree on a third arbitrator within twenty
days after the expiry of the first twenty day period
above mentioned , application shall be made as soon as
reasonably possible to any Judge of the Supreme Court
of Ontario for the appointment of such third arbitrator .
The arbitrator or arbitrators so appointed shall have
al•1 . the powets accorded arbitrators by the Arbitratibn
ACt , R . S . O . 1980 , Chapter 25 as from time to time amended4'4) ,
any any Act in substitution therefor . The decision of
. the said arbitrator or arbitrators ( or of a majority of
such arbitrators ) shall be final and binding on the
parties hereto .

10 . In the event of the Company being prevented from carrying
out its obligations under this Agreement by reason of any cause -
beyond its control , the Company shall be relieved from such
obligations while such disability continues and in the
{ event of dispute as to the existence of such disability such
dispute shall be determined as hereinbefore provided . Provided ,
•
however , that the provisions of this paragraph 10 shall not
relieve the Company from any of its obligations as set out
in Paragraph 3 hereof .
11 . The franchise hereby granted shall be for a term of
thirty ( 30 ) years from and after the final passing of the
By- Law ; provided that if at any time prior to the expiration •
of the said term of thirty ( 30 ) years or prior to the expiration
of any renewal thereof , the Company shall notify the Municipality
in writing that it desires a renewal thereof for a further
period , the Municipality may but shall not be obligated to
renew by By- Law this Agreement from time to time for further
periods not exceeding thirty ( 30 ) years at any time .
12 . For the purpose of this Agreement and of any matters
arising out of sfine the Municipality shall act by the
Council thereof . 1
13 . Wherever th! word "highway " is used in #this Agreement •
or in the said Bye- Law it shall mean common and public
highways and shall). include any bridge forming part of a
highway on or over and across which a highway passes and
any public square , or road allowance and shall include not
only the travelled portion of such highway but also ditches ,
driveways , sidewalks , and sodded areas forming part of the
road a l lowane . - •

14 . Upon the expiration of this franchise or any renewal
thereof the Company shall have the right , but nothing herein
contained shall require it , to remove its mains , pipes , plant
i
and works laid in the said highway . Provided that forthwith
upon the expiration of this franchise or any renewal thereof
the Company shall deactivate such pipeline in the Municipality .
Provided further that if the Company should leave its mains ,
` pipes , plants and works in the highway as aforesaid , and the
Municipality at any time after a lapse of one year from
termination require the removal of all or any of the Company ' s
said facilities for the purpose of altering or improving the
highway or in order to facilitate the construction of
utility or other works in the highway the Municipality may
remove and dispose of so much of the Company ' s said facilities
as the Municipality may require for such ipurposes and neither
party shall have recourse against the other for any loss ,
cost or expense occasioned thereby .
15 . Any notice to be given under any of the provisions
hereof may be effectually given to the Municipality by
delivering the same to the Municipal Clerk or by sending
the same to him by registered mai '.„ postage prepaid ,
addressed to " Clerk , Village of Vienna , P . O . Box 160 ,
Siraffordville , Ontario . N5H 2C3 " , and to the Company by
delivering the same to its Manager ox other Chief Officer in
charge of its place of business in the City of London , or
by sending the same by registered mail , postage prepaid ,
addressed to "Natural Resource Gas Limited , P . O . Box 3117 ,
Terminal "A " , London , Ontario . N6A 4J4 " . If any notice is
sent by mail the same shall be deemed to have been given on
the day succeeding the posting thereof .
•16 . - It is recognized that gas is a public utility , the use

of which may be essential to the proper development of any

new area of subdivision . The Municipality therefore may
notify the Company of each new plan of subdivision before the
same has been approved by the Council and to take any
reasonable steps to ensure that in each new plan of
subdivision , adequate provision is made for the reservation
of lands for gas regulator sites . Insofar as is reasonably
practicable , the Company shall endeavour to construct its
mains in new areas of subdivision at the same time as the
Municipality is constructing its public services therein .
17 . This Agreement shall extend to , benefit and bind the
parties thereto , their successors and assigns , respectively .
IN WITNESS WHEREOF the said Company has hereunto
caused its Corporate Seal to be affixed and these presents
signed by its proper officers in that behalf and the said
Corporation has hereunto caused its Corporate Seal to be
affixed and the8e presents signed by the Municipality and
Clerk .

A By -Law of the Village of Vienna
in the County of Elgin to authorize
an Agreement between the Village of
Vienna and the Township of Bayham
respecting fire protection
WHEREAS the Township of Bayham and the Village of Vienna have
entered into an agreement for the provision of fire protection
by the said Township to the said Village , and it is necessary
to ratify and confirm the said agreement .
THEREFORE the Municipal Council of the Corporation of the
Village of Vienna enaeAe as follows :
1 . That the agreement between the Township of Bayham and
the Village of Vienna dated dated the 2nd day of May , 19F35 ,
a true copy of which agreement is hereto attached and forms
part of this By-Law , be and the same is hereby ratified
and confirmed .

THIS AGREEMENT made in duplicate this 2nd day of May , 1985
BETWEEN
THE TOWNSHIP OF BAYHAM , hereinafter called
The Party of the First Part ,
AND
THE VILLAGE OF VIENNA , hereinafter called
The Party of the Second Part :
WITNESSETH that the Parties hereto mutually agree in respect to fire
protection provided by the Party of the First Part to the Party of
the Second Part as follows : -
1 . The Party of the First Part agrees to provide the services of the
Township ' s Fire Department and vehicles for fire protection for the
Party of the Second Part , such services to be subject to prior calls
and the Party of the First Part shall not be held responsible for the
failure of any part of the said services .
2 . The Party of the Second Part agrees to pay to the Party of the First
Part , for the above services , on the following basis : -
( a ) Each year during the term of this agreement , the sum of
Twenty Five Hundred Dollars ( $ 2 , 500 . ) which sum shall be the
cost of one ( 1 ) fire call . Each additional call shall be at
the rate of Twelve Hundred Dollars ( $ 1 , 200 . )
( b ) The rate ( s ) as set out in section a shall be adjusted annually
during the term of this agreement by an amount equal to the
percentage increase or decrease in the annual inflation
rate as determined by Statistics Canada for the preceeding
year .
3 . The Party of the First Part shall not be responsible for providing
any additional fire fighting equipment from other municipalities
unless Officials fo the Party of the Second Part request same in
shich case the Party of the Second Part shall be responsible for any
additional fee that might be charged by the other municipality ,
provided however there shall be no charge for additional fire fighting
equipment called under a mutual aid agreement in effect in the
County of Elgin .
. Charges arising from false alarms where it is not necessary to
remove any equipment from the vehicles of the Party of the First Part
shall be subject to negotiation between the Parties .

5 . This agreement shall be for. a term of three ( 3 ) years commencing
January 1 , 1985 , and subject to the provisions of Section 6 , shall be

in the County of Elgin to authorize

Bayham and the Village of Vienna
respecting fire protection .
WHEREAS the Township of Bayham and the Village of Vienna have
entered into an agreement for the provision of fire protection

A By-law of the Township of Bayham
in the County of Elgin to authorize
an Agreement between the Township of
Bayham and the Village of Vienna
respecting fire protection .
411 WHEREAS the Township of Bayham and the Village of Vienna have
entered into an agreement for the provision of fire protection
by the said Township to the said Village , and it is necessary
to ratify and confirm the said agreement .
THEREFORE The Municipal Council of the Corporation of the

Township of Bayham enacts as follows :
1 . That the agreement between the Township of Bayham and the
Village of Vienna dated the 2nd day of May , 1985 , a true
copy of which agreement is hereto attached and forms
part of this By-law , be and the same is hereby ratified
and confirmed .

THIS AGREEMENT made in duplicate this 2nd day of May , 1985
BETWEEN
THE TOWNSHIP OF BAYHAM , hereinafter called
•
The Party of the First Part ,
AND
THE VILLAGE OF VIENNA , hereinafter called
The Party of the Second Part :
WITNESSETH that the Parties hereto mutually agree in respect to fire
protection provided by the Party of the First Part to the Party of
411 the Second Part as follows : -
1 . The Party of the First Part agrees to provide the services of the
Township ' s Fire Department and vehicles for fire protection for the

Party of the Second Part , such services to be subject to prior calls
and the Party of the First Part shall not be held responsible for the
failure of any part of the said services .
2 . The Party of the Second Part agrees to pay to the Party of the First
Part , for the above services , on the following basis : -
( a ) Each year duringthe term of this agreement , tis a sum of

Twenty Five Hundred Dollars ( $2 , 500 . ) which sum shall be the
cost of one ( 1 ) fire call . Each additional call shall be at
the rate of Twelve Hundred Dollars ( $1 , 200 . )
( b ) The rate ( s ) as set out in section a shall be adjusted annually
during the term of this agreement by an amount equal to the
percentage increase or decrease in the annual inflation
rate as determined by Statistics Canada for the preceeding ..
year .
3 . The Party of the First Part shall not be responsible for providing
any additional fire fighting equipment from other municipalities
unless Officials of the Party of the Second Part request same in
which case the Party of the Second Part shall be responsible for any
additional fee that might be charged by the other municipality ,
provided however there shall be no charge for additional fire fighting
equipment called under a mutual aid agreement in effect in the
County of Elgin .
111 4 . Charges arising from false alarms where it is not necessary to
remove any equipment from the vehicles- of the Party of the First
Part shall be subject to negotiation between the Parties .

5 . This agreement shall be for a term of three ( 3 ) years commencing
January 1 , 1985 , and subject to the provisions of Section 6 , shall be
binding upon the Parties their successors and assigns .
• 6 . This agreement may be terminated at any time by either Party
IIgiving ninety ( 90 ) days written notice to the other Party .

THE Council of the Corporation - of the Village of Vienna , in
accordance with the provisions of the Planning Act , hereby
enacts as follows :
1 . THAT the Community Improvement Plan for the Village of
• Vienna , consisting of the attached text , is hereby adopted .
2 . THAT the Clerk is hereby authorized and directed to make
application to the Minister of Municipal Affairs and Housing
for approval of the aforementioned Community Improvement
Plan for the Village of Vienna .
3 . THAT no part of this By-law shall come into force and
take effect until approved by the Minister of Municipal
Affairs and Housing .

1 . SICIACTIOM OF PUOISCT ARIA
A Community Improvement Project Area was identified with
•
respect to the " Residential Criteria " provided in subsection
8 . 3 . 1 of the Community Improvement Policies in the Official
Plan . The O . N . I . P . Project Area which is the subject of this
Community Improvement Plan meets all of the selection criteria
for residential areas as outlined in subsection 8 . 3 . 1 and
reprinted below :
i ) a significant portion of the residential properties
are in need of rehabilitation ;
ii ) deficiency of neighbourhood parkland such as
playgrounds , rest areas , etc . , or other identified
recreational facility resources ;
iii ) need for improvement to municipal services including
storm drains , street lights , sidewalks , curbs and
gutters ;
iv ) stability of the existing pattern of residential
land use .

The applicability of these criteria to the Community
Improvement Project Area which is the subject of this Plan , is
elaborated upon in the Background Study which forms Appendix
' A ' to this Plan .
2 . DESCRIPTION OF P T ECT AREA
i ) The Community Improvement Project Area is
essentially constituted by the built-up residential
area of the Village bounded roughly on the north
side of Highway 19 by the Big Otter Creek on the
east and north ; by Oak , Chestnut , Union , Fulton and
Centre Streets on the west ; by the municipal
boundary of the Village on the south ( with the
exception of a small parcel of vacant land to the
southwest of the intersection of King and Front
Streets ) ; and , by the southern limits of the Highway
19 road allowance in the Central Business District .
ii ) The precise boundary of the Community Improvement
Project Area is shown on Schedule ' A , which is
attached to , and forms part of this Plan .
3 . PROPOSED IMPROVEMENTS
The community improvements included in this Plan are comprised
of renovations to the Village Community Centre and the
installation or refurbishment of several drains , curbs and
sidewalks throughout the designated Community Improvement
Project Area as shown on Schedule ' A ' t0 this Plan .

The Community Centre , located adjacent to the Vienna
Elementary School , will receive both interior and exterior
renovations which will result in improved accessibility
( especially for the handicapped ) ; increased capacity and utility ;
improved energy efficiency ; and a safer and more appealing
environment . Features which will be upgraded include the
heating and ventilation system; access ramps , steps and sidewalks ;
washrooms ; the roof , flooring , kitchen and bar facilities .
The installation of concrete surface drains as shown on
Schedule ' A ' will facilitate improved stormwater run-off thereby
alleviating existing problems of ponding after heavy storms . The
installation and refurbishment of curbs and sidewalks , meanwhile ,
will increase pedestrian safety in the Village as well as improv-
ing the accessibility to community facilities and shopping areas .
Approximately 2 , 400 metres of drains and 1 , 200 metres of curbs and
sidewalks will be installed under this Ontario Neighbourhood
Improvement Program .
4. INITIMATED COSTS
The capital costs of improvements are itemized on Table 1 .
The costs are broken down on this table by calendar quarter ;
by type of project ( social and recreational facilities ,
services and utilities , and associated administrative costs ) ;
and by individual project .
10 The total cost of the community improvement projects described
above is $160 , 000 . Approximately 63% of this total ( $ 100 , 200 )
is allocated to the improvement of municipal services , while
approximately 30% ( $47 , 400 ) of the total is associated with
improvements to social and recreational facilities . The

remaining 7% ( $ 12 , 425 ) of the total project cost has been
reserved for administrative costs which include planning and
project management .
The Village of Vienna will use reserve accounts and tax revenues
• to cover all project and related administrative costs as outlined
on Table l of this Plan . The Village makes this commitment with
the provision that the Ministry of Municipal Affairs and Housing
will subsequently reimburse the Village in the amount of 50% of
all eligible costs under the Ontario Neighbourhood Improvement
Program. As such , the Village and the Province of Ontario would
each be responsible for $80 , 000 , or 50% of all costs inherent in
this Plan .
5 . PHASING AND IMPLEMENTATION
i ) Phasing
It is the intention of the Council of the
Corporation of the Village of Vienna to initiate and
complete all the community improvement projects
proposed by this Plan within three years after
approval of the Community Improvement Plan by senior
levels of government and the Ontario Municipal
Board . As such , all program expenditures will be
incurred between March 31 , 1985 and March 31 , 1988 .

Table 1 shows the project expenditures for each of
the 12 calendar quarters in the three year
implementation timetable . Approximately 36 . 5 % of all
project and administrative expenditures ( $ 58 , 350 )
will have been incurred by the fourth calendar
quarter , or , by the end of the first fiscal year•
of the program ( March 31 , 1986 ) . By the end of the
second fiscal year , approximately 74 % ( $ 118 , 325 )
of the total project costs will have been expended
( March 31 , 1987 ) . The remaining 26 % of the project
costs ( $ 41 , 675 ) will be expended in the final four
calendar quarters of the implementation timetable
which ends March 31 , 1988 .
ii ) Plan Amendments
The following deviations from this Community
Improvement Plan will not require an amendment to
the Plan :
o hard service improvements or physical works in
slightly different locations within the project
area than shown on Schedule ' A ' ;
expenditures which deviate by ±10% ( or less )
above/below the estimated costs for specific
projects if such deviation does not result in a
change to total program costs , or otherwise
require an amendment . Village Council acknow-
• ledges that deviations in specific project costs
will still require the written approval of the
Director of the Community Renewal Branch of the
Ministry of Municipal Affairs and Housing prior
to implementation ;

any project expenditure which occurs , or carries
over from the third quarter , into the fourth
quarter of any calendar year ( October , November ,
December ) .
The following deviations from this Community
Improvement Plan will require an amendment to the
Plan :
• the addition of ( different ) physical works above
and beyond those shown on Schedule ' A ' and listed
on Table 1 ;
expenditures which deviate by more than +10% above
or below the estimated costs for specific projects
and/or which may result in a change to the total
program costs ;
• the entire deletion of any of the physical works
shown on Schedule ' A ' and listed on Table 1 ;
•
changes to the boundaries of the Community
Improvement Project Area .

1 .0 INTMODOCTIOW
The information presented in this Background Study defines and
describes a Community Improvement Project Area in the Village
of Vienna . The Background Study also served to assist the
Village in the evaluation and selection of community
improvement projects . These projects are to be undertaken
through participation in the Ontario Neighbourhood Improvement
Program ( O . N . I . P . ) of the Ministry of Municipal Affairs and
Housing .
Information regarding land use , building conditions , social
and economic conditions , and the condition of services and
community facilities was compiled from many sources including
the Background Study to the Village of Vienna Community
Improvement Policies ( 1984 ) and the Municipal Housing
Statement ( 1982 ) . Supplementary information was collected by
means of walking tours and windshield surveys , and through
meetings with Council and the general public .

2 .0 E'EISTXMi LAND USE
The Community Improvement Project Area covers approximately 36
hectares ( 89 acres ) and includes most of the developed part of
the Village . There are approximately 100 residential
dwellings within the area housing an estimated population of
285 persons .
The Community Improvement Project Area also includes some
commercial , institutional , recreational and vacant lands . The
commercial lands are occupied by approximately 10 businesses
which are centered on the north side of Highway No . 19 between
the two points where it crosses the Big Otter Creek . , These
businesses essentially comprise the major portion of the
Village ' s central business district .
The elementary school and community centre are situated beside
one another on the north side of Fulton Street and together
with their associated outdoor playfields , these facilities
constitute the largest institutional/recreational land use in
411 the Community Improvement Project Area .

3 . 0 BUILDING CONDITIONS
A windshield survey of the building conditions was
conducted in April 1985 and the building condition was
noted according to the following criteria :
1 . GOOD - no structural defects or maintenance
deficiencies
2 . MINOR - cosmetic or superficial deficiencies
- painting , siding or replacement of
eavestrough necessary , wood rot , clean-up
of property , broken windows , etc .
3 . MODERATE - non-structural in nature - may require
weather-proofing and other improvements
for energy efficiency
- window frame rot , roof reshingling ,
chimney pointing or realigning , drainage
problems , doors and openings deficient ,
etc .
4 . MAJOR - structural deficiencies are evident
- poor roof and trusses , cracked or no
foundation , walls out of alignment , etc .

The results of the survey indicate that the majority of
buildings in the Community Improvement Project Area are in a
substandard state of repair . This information is summarized in
the table below and on Figure A- 1 .

Of the 104 dwelling units examined only 22 % exhibit no
deficiencies . In general terms , the buildings in the poorest
condition are situated at the west end of Fulton Street which
includes the Village Community Centre . Other buildings in poor
condition are located along the eastern part of King Street and
in the area of the Queen Street and Main Street intersection .
Some of the dwellings which are in better condition are located
411 along Anne Street . The lack of landscaping and curbs plus the
existence of many dilapidated accessory buildings also detracts
from the appearance of many buildings regardless of their
structural or cosmetic condition .

4 .0 SOCIAL AND ECONOMIC camorTroms
Social and economic conditions in the Village of Vienna
have remained unchanged for several years . An overall
lack of municipal services and community facilities
coupled with a freeze on development on those lands
adjacent to the Big Otter Creek have contributed to a
slowly declining population base in the Village , and , a
correspondingly stagnant economic climate .
Employment opportunities within the Village are minimal ,
and under these circumstances , Vienna has slowly evolved
from a viable agricultural service centre into a dormi-
tory community with most residents commuting elsewhere to
work and for shopping , services and entertainment .

5 .0 CONDITION OF SURVIC18 AND Col ITT FACILITIES
The road conditions within the Community Improvement
Project Area range from a Provincial Highway which is
fairly well maintained , to unimproved local roads which
at times are barely passable . Some of the roads shown on
Figure A-2 are unopened road allowances . Several others
are classified in poor condition and characteristically
exhibit narrow , poorly drained surfaces of mud and
gravel . Those roads which are classified in moderately
poor condition generally have at least a tar and chip
surface * however , like most roads in the Village they are
narrow and poorly drained .
•
Surface drainage in the Village and particularly in the
Community Improvement Project Area is a serious problem .
There are no underground or engineered storm sewer
facilities in the Village except for a rudimentary and
intermittant system of roadside ditches which are
ineffective in heavy storm conditions .
411 There are only two small areas with sidewalks in Vienna
and both are located in the Community Improvement Project
Area . The sidewalk running along the south side of
Fulton Street between Union and Centre Street is cracked ,

overgrown and essentially unusable . More importantly ,
the sidewalks along Front Street are also in a very poor
state of repair and have been rendered " below grade " by
reconstruction of the Highway No . 19 roadway over the
years . As such , these sidewalks are normally inundated
by run-off from the highway during and after storms .
Although there are some street lights within the
Community Improvement Project Area , they are old ,
non-efficient and provide only the minimum level of
illumination necessary for safety along Front , Oak , Elm ,
Main and Fulton Streets .
The Community Centre is the principal recreation resource
in Vienna and is located on the north side of Fulton
Street within the Community Improvement Project Area .
The Community Centre provides space for local social
gatherings and meetings . The Centre is under—utilized
because of its physical condition and a lack of adequate
washrooms , wheelchair access and ancilliary facilities
such as a kitchen and bar . It has also been suggested
that with some upgrading the Community Centre could be
utilized by a growing number of seniors in the area as a
drop-in centre for informal social activities . There are
no such facilities currently in existence in the Vienna
area . The Centre could accommodate up to 400 persons if
111 properly renovated with the addition of more washrooms ,
an improved heating system , a new roof and floor and
ancillary facilities .

6 .0 PUBLIC PARTICIPATIOU
The improvements proposed by this Plan were frequently
discussed in open Council and various suggestions made by
ratepayers regarding potential improvement projects were
taken into account . During the final stages of
preparation of this Plan , Council advertised a public
meeting where interested individuals were invited to
comment on both the component projects and the overall
Improvement Plan .
The notice and minutes of the public meeting regarding
the Village of Vienna Community Improvement Plan fol .ow
this Background Study as Appendices B and C to the Plan
respectively .

TAKE NOTICE that the Council of the Corporation
• of the Village of Vienna will hold a public
meeting on 16 Moy 1985 of 7:30 p.m. of the Com-
munity Centre on Fulton Street in the Village of
Vienna to consider a proposed Community Im-
provement Plan under Section 28 of the Planning
Acf, 1983.
The proposed Community Improvement Pion
describes a number of projects that ore to be
undertaken in the Village over the next four
years through the Ontario Neighbourhood Im-
provement Program. These projects include
renovations to the Community Centre and the in-
stallation
of roadside drains, curbs and
sidewalks in selected ports of the Village.
ANY PERSON may attend the public meeting
and/or make written or verbal representation
either in support of or in opposition to the pro-
posed Community Improvernt nt Plan.

WHEREAS Maryanne Wellesley presented to the Council
of the Village of Vienna her letter of resignation
which Council resolved to accept on May 09 , 1985 ,
it is deemed adviseable to pass a By - law .
THERFORE BE IT ENACTED by the Municipal Council of
the village of Vienna as follows :
THAT Maryanne Wellesley ' s resignation is hereby
accepted and
THAT the employment of the said Maryanne Wellesley
as Clerk , Treasurer and Tax Collector for the

Hereinafter called the " Minister "
OF THE FIRST PART
- and -
THE CORPORATION OF . THE VILLAGE OF VIENNA
Hereinafter called the "Municipality "
OF THE SECOND PART •
WHEREAS the Municipality is entitled to apply for a 50 %
contribution under the Ontario Neighbourhood Improvement
Program , hereinafter called the " Program " , of the Ministry
of Municipal Affairs and Housing ;
AND WHEREAS the Municipality has satisfied certain prerequisites
for such contribution as follows :
a ) Pursuant to Section 28( 2 ) of the Planning Act , S . O .
1983 , Ch . 1 , the Municipality , by by - law No . 804
has designated as a community improvement project area
that area shown outlined in red on the plan attached
as Schedule "A" hereto , hereinafter called the
10 "Area " ;
b ) Pursuant to Section 28 ( 4 ) of the Planning Act , S . O .
1983 , Ch . 1 , the Municipality , with the approval of the
Minister or the Ontario Municipal Board as the case may be ,
has adopted a community improvement plan for the Area ,
hereinafter called the "Community Improvement Plan" ;
c ) The Municipality has made written application to the
Minister for financial assistance , by way of such con -
tribution , to assist in the improvement of the Area in
r accordance with the Community Improvement Plan , including
the costs already incurred for the preparation of the

Community Improvement Plan , from the date of allocation of
funds by the Minister to the Municipality under the Program;
AND WHEREAS pursuant to Section 30 of the Planning Act , S . O .
1983 , Ch . l , the Minister , subject to the terms of this Agreement
and subject to thee approval of the Lieutenant Governor in Council ,
has agreed to contribute a sum of up to 50% of the eligible
costs as hereinafter defined .
NOW THEREFORE THIS AGREEMENT WITNESSES THAT , in consideration
of the mutual covenants hereinafter contained , the Parties
hereto covenant and agree each with the other as follows :
1 . DEFINITIONS
In this Agreement :
a ) " Estimated Costs " means the detailed estimates
of eligible costs for the work and services
itemized in Schedule " B" hereto ; provided that
changes may be made to the said detailed estimates
only with the prior written consent of the Ministry ;
b ) "Eligible Costs " means the actual costs paid or
payable by the Municipality for the work and
services itemized in Schedule " B" not exceeding
in any detail or in total , without the prior
written consent of the Ministry , the Estimated Costs ;
c ) " Inspections " means inspections made on behalf of
the Ministry to establish that work for which
payment is claimed is actually in place ;
•
d ) "Ministry " means the Ministry of Municipal Affairs
and Housing for the Province of Ontario , its
successors and assigns ;

e ) " Project " means the work and services or that
portion thereof itemized in Schedule " B " to
which the Eligible Costs are attributable ;
f ) " Accounts " means such invoices , billings ,
410 statements , accounts and related documentation
required by the Ministry to satisfy it as to
the amount ( s ) of Eligible Costs incurred by the
Municipality .
2 . IMPLEMENTATION
The Municipality shall not receive any funds under
this Agreement until the Municipality has obtained
all approvals required for the implementation of
the Community Improvement Plan .
3 . COMPLETION DATES
The Municipality shall :
a ) Complete that portion of the implementation of the
Project to which the first 33 % of the Eligible
Costs are attributable and shall deliver to the
Ministry all Accounts in relation thereto not
later than the 31st day of March 1986, being the
First Completion Date ;
110 b ) Complete that portion of the implementation of
the Project to which the second 33% of the
Eligible Costs are attributable and shall deliver
to the Ministry all Accounts in ' relation
thereto not later than the 31st day of March
1987 , being the Second Completion Date ;
c ) Complete the balance of the Project and deliver
to the Ministry all Accounts in relation thereto
not later than the 31st day of March 1988 , being
• the Final Completion Date .

4 . ESTIMATE OF CASH FLOW
An estimate of cash flow under this Agreement
is attached as Schedule " C " hereto . Notwithstanding
Schedule " C " , which is an estimate only , the
amounts and timing of payments of funds by the
Ministry are subject to the terms and conditions
contained in this Agreement .
5 . MINISTRY CONTRIBUTION
a ) The Ministry shall make payments to the Municipality
of funds totalling 50 % of the Eligible Costs
accepted by the Ministry , up to a maximum total
amount of $ 80 , 000 . 00 . This latter amount
is an upset limit and shall not be increased in
any event .
b ) The agreement of the Ministry to make payments
of funds under this Agreement is subject to :
i ) There being an appropriation by the Provincial
Legislature for the Program for the fiscal
year in which the payments would be required
under this Agreement ;
ii ) The Ministry ' s right to limit payments of
funds in any given fiscal year as may be
necessary due to unforseen Provincial
Government financial constraints ;
iii ) The terms and conditions contained in this
Agreement .
6 . ACCOUNTS AND PAYMENTS
a ) The Municipality shall submit Accounts to the
Ministry not less frequently than on a quarter -
yearly basis ;

b ) Subject to satisfactory Inspections and review of
Accounts by the Ministry , the Ministry shall make
payments of funds in accordance with and subject to
the following provisions :
i ) All payments from the Ministry to the
Municipality shall be made within 30 days
of receipt from the Municipality of
acceptable Accounts ;
ii ) Subject to the Construction Lien Act , 1983 ,
upon receipt from the Ministry of any payment
under this Agreement , the Municipality shall
immediately make payment of the full amount ( s )
of the Accounts in relation to which the
Ministry ' s payment has been paid ;
iii ) Upon completion of the Project , a final
accounting shall be taken of the Eligible
Costs and any necessary adjustments shall
be paid in accordance with the provisions
of this Agreement ;
iv ) In the event of any overpayment by the Ministry ,
discovered either during the term of this
Agreement or pursuant to the final accounting ,
the Municipality shall 'reimburse the Ministry
in the amount ( s ) of such overpayment upon
demand in writing by the Ministry .
7 . PROJECT REVIEW COMMITTEE
The Municipality and the Ministry shall establish a Committee
to be known as the " Project Review Committee " within two months
of the date of the approval of the Community Improvement Plan by the
Minister . The Project Review Committee shall consist of two
members appointed from time to time , of which one member shall be a
municipal staff member appointed by the Municipality and one

member shall be a person appointed by the Ministry .

The Project Review Committee shall function under
the following provisions :
a ) The member appointed by the Municipality shall
act as chairman of the Project Review Committee ;
b ) Each member may from Lime to time invite such
other person or persons to attend meetings and
to give advice to the Committee as may be
deemed necessary ;
c ) The Project Review Committee shall from time to
time :
i ) review the progress of the implementation
• of the Community Improvement Plan ;
ii ) review the proposed revisions to the Community
Improvement Plan to ensure the eligibility
of the new projects under the Program ;
iii ) review the annual progress reports ;
d ) The Chairman shall be responsible for keeping
minutes of the meetings ;
e ) The Project Review Committee shall decide the
form and content , circulation , number of copies
and other details of the minutes and the procedure
of the Project Review Committee ;
f ) The first meeting of the Project Review Committee
shall take place no later than one month following
its establishment . Thereafter the Project Review
Committee shall meet no less frequently than
once every six months , but shall have the right
to hold additional meetings as deemed necessary ;

g ) The Project Review Committee shall cease to
exist upon the Final Completion Date or upon
the completion of the Projects whichever occurs
first .
8 . PROCEDURES
The Municipality shall comply with the procedures for
the Program , as established by the Ministry from
time to time , and which are incorporated by reference
in this Agreement , and shall submit accounts and
annual progress reports in the forms established by
the Ministry .
9 . RECORDS
The Municipality shall retain and preserve all documents ,
vouchers , records and accounts that relate to the
work and services done under the Project for a period of
seven ( 7 ) years from the Final Completion Date .
10 . ACCESS TO RECORDS
The municipality shall permit access to such of its
records and accounts as are relevant to anything done
under or relating to this Agreement by duly authorized
representatives of the Ministry ,
11 . PUBLIC TENDER
The Municipality shall let any contract relating
to the implementation of the Project by public
tender unless the Minister in writing waives this
requirement .
12 . PUBLISHING
The Minister and the Ministry , without any obligation
to make any payment to the Municipality or any third
party , may print , publish or otherwise reproduce in
whole or in part any report , plan , document or other

material prepared for the Project and may distribute
any of the same to any person , persons . corporations ,
firms or associations or otherwise use same in any
manner which they may determine in their absolute
discretion and the Municipality shall so provide in
all its contracts with third parties relating to the
I/ Project . •
13 . INDEMNIFICATION
The Municipality at all times shall indemnify and save
harmless the Minister and the Ministry from4any claim
or suit to which they or either of them may be subjected
and which may arise as a result of the Project being
undertaken or the publication of material pursuant to
Paragraph 12 or for any other reason relating to this
Agreement .
14 . PROJECT SIGN
The Municipality agrees to install a Project sign in a
conspicuous and visually unobstructed location within
the Project area . The installation of the Project sign
shall be carried out at such time and in the form , and
according to the specifications , as prescribed by the
Ministry . The Municipality shall maintain the Project
sign in good condition until the Project is fully
implemented , at which time it may be removed . The cost
10 of the Project sign shall be an Eligible Cost so as to
qualify for Ministry contribution .
15 SCHEDULES
Schedules "A" , "8" and "C " hereto and all provisions
contained therein shall be , and they are hereby , made
part of this Agreement .

16 NO INDUCEMENT OR COLLATERAL AGREEMENTS
This Agreement including the recitals , schedules and
any other documents incorporated by reference herein
comprise the whole of the Agreement between the Parties
and there are no collateral terms or conditions thereof
which are not so contained or incorporated . No
representations or inducements have been made or given
to the Municipality which could give cause for non-
performance or rescission of this Agreement or any
portion thereof by the Municipality .
17 . AMENDMENTS
Any amendment to this Agreement shall not be binding
unless it is acknowledged in writing by both the
Municipality and the Minister or Ministry . whichever
is appropriate ,
18 . NOTICES
Any notices which may be given under the provisions of
this Agreement shall be sufficiently given if mailed
by registered mail postage prepaid and in the case of
the Ministry or the Minister addressed to the Director ,
Community Renewal Branch , Ministry of Municipal Affairs
and Housing , 13th Floor , 777 Bay Street , Toronto ,
Ontario M5G 2E5 , and in the case of the Municipality
addressed to it to the Corporation of the Village
of Vienna Attention : The Clerk , or at
such other address as the Parties may from time to time
advise by notice in writing . Any notice so mailed shall
be deemed conclusively to have been given on the second
weekday following the day of mailing .
19 . INTERPRETATION
Wherever the singular and masculine are used in this
Agreement , the same shall be construed as meaning the
plural , feminine or neuter where the context so requires .

20 . HEADINGS
Paragraph headings are for ease of reference only and
do not form part of this Agreement .
21 . PARTIES
411 This Agreement shall be binding upon and enure to the
benefit of the Parties hereto , their successors and
assigns .
IN WITNESS THEREOF this Agreement has been executed by the
Parties hereto .
