Therefore the Council of the TOWNSHIP of BAYHAM
hereby enacts as follows:
1. The Head and the Treasurer are hereby authorized on behalf of the Municipality to
borrow from time to time by way of promissory note from CANADIAN IMPERIAL BANK
OF COMMERCE a sum or sums not exceeding in the aggregate $ 1 , 700. 000.
to meet until the taxes are collected the current expenditures of the Municipality
for the year, including the amounts required for the purposes mentioned in subsection
(1) of Section 332 of the Municipal Act, and to give on behalf of the Municipality
to the Bank a promissory note or notes sealed with the Corporate Seal and signed by
the Head and Treasurer for the moneys so borrowed, with interest at such rate
as may be agreed upon from time to time with the Bank.
2. All sums borrowed pursuant to the authority of this by-law, as well as all other sums
borrowed in this year and in previous years from the said Bank for any or all of the
purposes mentioned in the said Section 332, shall, with iriterest thereon, be a charge
upon the whole of the revenues of the Municipality for the current year and for all
preceding years as and when such revenues are received.
3. The Treasurer is hereby authorized and directed to apply in payment of all sums
borrowed as aforesaid, together with interest thereon, all of the moneys hereafter
collected or received either on account or realized in respect of taxes levied for the
current year and preceding years or from any other source which may lawfully be
applied for such purpose.

TOWNSHIP OF BAYHAM
BY - LAW NO. 2243
BEING A BY-LAW TO AMEND SCHEDULE "A" of By-law No. 1926, as
amended, regulating water rates from the Elgin Area Water System.
Whereas By-law No. 1926 is a By-law to regulate the supplying of
water and rates for water from the Elgin Area Water System Project.
AND WHEREAS Schedule "A" of By-law No. 1926 has been amended by
By-law Nos. 1978, 2062, 2110, 2157 and 2188.
AND WHEREAS it is now necessary to further amend By-law No.
1926 to adjust the rates charged for the supply of water.
NOW THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF
THE TOWNSHIP OF BAYHAM.
THAT Schedule "A" of By-law No. 2188 is hereby repealed.
THAT the following be designated Schedule "A" of By-law No.
1926 and be effective from January 1, 1985.
SCHEDULE "A"
RATES FOR WATER SOLD FOR DOMESTIC AND COMMERCIAL PURPOSES
1. Each consumer shall pay for every metered service a
minimum bill of $25.00 every 13 week period and shall
be allowed to use 6000 gallons of water during the
period without further charge.
WAter used during the period in excess*of 6000 gallons
will be billed at the rate or $4.10 per 1000 gallons.
2. A late payment penalty of 5% will be charged.

• THE CORPORATION OF THE TOWNSHIP OF BAYHAM
BY - LAW NO. 2246 '
Being a By-law to provide that in the year
1985 a levy be made before the adoption of
the estimates for the year.
WHEREAS THE Council of the Township of Bayham deems it expedient to
make a levy in the year 1985 before the adoption of the estimates.
THEREFORE THE COUNCIL OF THE TOWNSHIP OF BAYHAM ENACTS AS FOLLOWS:
1. That in the year 1985, before the adoption of the estimates, a levy
shall be made on the whole of the assessment for Real property according
to the last revised assessment roll a sum not exceeding 50 percent of that
which would be produced by applying to such assessment the total rate
for all purposes levied in the preceding year on residential real
property of public and separate school supporters.
2. That in the year 1985, before the adoption of the estimates, a levy
shall be made on the whole of the Business Assessment according to the
last revised assessment roll a sum not exceeding 50 per cent of that
which would be produced by applying to such assessment the total rate for
all purposes levied in the preceding year on business assessment public
and separate school supporters.
3. The respective amounts to be levied under the provision of
paragraphs 1 and 2 of this by-law are:
Real Property $ 7,2373801.
Business Assessment 1183245.
$ 7,3563046.
4. The rate to be levied under the provisions of paragraph 1 and 2 of
this by-law to produce the amount set out in paragraph 3 to this by-law
is one hundred and fifteen (115) mills.
5. The dates of payment of taxes under this By-law shall be as follows:
Due Date of 1st Installment: February 28
Due Date of 2nd Installment: May 31
6. In default of payment of the first installment of taxes or any part
thereof by the day named therein for the payment thereof, the remaining
installment or installments shall forthwith become payable.
7. A percentage charge of one and one quarter per centum (1k%) shall be
imposed as a penalty for non-payment of and shall be added to every tax
installment or part thereof remaining unpaid on the first day following the
lastday of payment of each such installment and thereafter an additional
charge of one and one quarter per centum (lk%) shall be imposed and shall
be added to every such tax installment or part thereof remaining unpaid on
the first day of each calendar month in which default continues up to
and including December of this year.

8. It shall be the duty of the Tax Collector immediately after the
several dates named in Section 5 to collect at once by distress or
otherwise under the provisions of the statutes in that behalf all such
tax installments or parts thereof asshall not have been paid on or
before the respective dates provided aforesaid, together with the said
percentage charges as they are incurred.
9. The tax collector not later that 14 days prior to the date that the
first installment is due shall mail or cause to be mailed to the
address of the residence or place of business of each person a notice
setting out the tax payments required to be made pursuant to this by-law,
the respective dates by which they are to be paid to avoid penalty and
the particulars of the penalties imposed by this by-law for late
payments.
10. Taxes shall be payable to the Corporation of the Township of
Bayham and shall be paid to the collector at the Municipal Office.
11. The Collector and Treasurer be and are hereby authorized to
accept part payment from time to time on accunt of any taxes due and
to give a receipt for such payment, provided that acceptance of any
such payment shall not affect the collection of any percentage charge
imposed and collectable under section 7 in respect to non-payment of
taxes or of any installment thereof.
12. When tenants of lands owned by the Crown or in which the Crown has
an interest are liable for payment of taxes and where any such tenant
has been employed within or outside the municipality by the same
employer for not less than thirty days, sxch employer shall pay over
to the Collector or Treasurer on demand out of any wages, salary or other
remuneration due to such employee the amount then payable for taxes under
this by-law and such payment shall relieve the employer from any
liability to the employee for the amount so paid.

CORPORATION OF THE

BY - LAW NO. 2248
BEING a By-law to establish a Penalty
Charge for Non -Payment of Current
Taxes and to provide for Interest to
be added to Tax Arrears.
WHEREAS under the ProvisionSof the Municipal Act, R.S.O. 1980,
a municipality may impose penalties on overdue taxes in 1985;
AND WHEREAS a municipality may impose an interest charge on
tax arrears;
NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE TOWNSHIP
OF BAYHAM ENACTS:
(1) THAT overdue taxes are those taxes that are levied in
1985 and are not paid on or before the day payment is
due;
(2) THAT tax arrears are taxes that are due and unpaid after
December 31st. of the year in which they were levied;
(3) THAT the penalty charge to be added to overdue taxes
and the interest charge to be added to tax arrears
shall be fifteen per cent (15%) per annum.
(4) THAT the percentage charge as 3 penalty for non-
payment of current taxes shall be imposed on the
first day of default and on the first day of each
calendar month thereafter in which default
continues, but not after December 31, 1985;
(5) THAT the Corporation shall give notice of the
penalty rate to be imposed under Sections 3 and 4
of this by-law in accordance with Subsection 6 of
Section 386 of the Municipal Act, R.S.O. 1980,
Chapter 302;
(6) THAT the Treasurer shall add to the amount of all
tax arrears due and unpaid, interest as specified in
Section 3 of this b -law at the rate of one and one
quarter per cent (1 %) per month for each month or
fraction thereof from the day this by-law takes effect;
(7) This by-law shall take effect on April 1, 1985.

BEING a By-law to establish
a Site Plan Control Area
WHEREAS Secrion 40 of the Planning Act, R.S.O., 1980,
enables the Council of a municipality to designate by
By-law, the whole or any part of an area covered by an
official plan and lying within the municipality as a
SiteiPlan Control Area, and
WHEREAS the Township of Bayham is covered by the East
Elgin Official Plan which has been approved by the
Minister of Housing, and
WHEREAS the Township of Bayham has adopted By-law No.
2040, a restricted area (zoning) by-law pursuant to
Section 35 of the Planning Act, R.S.O., 1970, and
«iEREAS the Township of Bayham's restricted area
(zoning) by-law, as amended, makes reference to one or
more land use designations,
THEREFORE, the Council of the Corporation of the Town-
ship of Bayham enacts as follows:
1. THAT a site plan control area is hereby established
within the corporate limits of the Township of
Bayham.
2. THAT the site plan control area established by
Section 1 of this By-law shall comprise the
following land use designations as set out in
By-law No. 2040, as amended, from time to time.

A By-law of the Township of Bayham
in the County of Elgin to authorize
an Agreement between the Township of
Bayham and the Village of Vienna
respecting fire protection.
WHEREAS the Township of Bayham and the Village of Vienna have
entered into an agreement for the provision of fire protection
by the said Township to the said Village, and it is necessary
to ratify and confirm the said agreement.
THEREFORE The Municipal Council of the Corporation of the
Township of Bayham enacts as follows:
1. That the agreement between the Township of Bayham and the
Village of Vienna dated the 2nd day of May, 1985, a true
copy of which agreement is hereto attached and forms
part of this By-law, be and the same is hereby ratified
and confirmed.

THIS AGREEMENT made in duplicate this 2nd day of May, 1985
BETWEEN
AND
THE TOWNSHIP OF BAYHAM, hereinafter called
The Party of the First Part,
THE VILLAGE OF VIENNA, hereinafter called
The Party of the Second Part:
WITNESSETH that the Parties hereto mutually agree in respect to fire
protection provided by the Party of the First Part to the Party of
the Second Part as follows: -
1. The Party of the First Part agrees to provide the services of the
Township's Fire Department and vehicles for fire protection for the
Party of the Second Part, such services to be subject to prior calls
and the Party of the First Part shall not be held responsible for the
failure of any part of the said services.
2. The Party of the Second Part agrees to pay to the Party of the First
Part, for the above services, on the following basis: -
(a) Each year during the term of this agreement, the sum of
Twenty Five Hundred Dollars ($2,500.) which sum shall be the
cost of one (1) fire call. Each additional call shall be at
the rate of Twelve Hundred Dollars ($1,200.)
(b) Th-= rate(s) as set out in section a shall be adjusted annually
during the term of this agreement by an amount equal to the
percentage increase or decrease in the annual inflation

year.
3. The Party of the First Part shall not be responsible for providing
any additional fire fighting equipment from other municipalities
unless Officials of the Party of the Second Part request same in
which case the Party of the Second Part shall be responsible for any
additional fee that might be charged by the other municipality,
provided however there shall be no charge for additional fire fighting
equipment called under a mutual aid agreement in effect in the
County of Elgin.
4. Charges arising from false alarms where it is not necessary to
remove any equipment from the vehicles of the Party of the First
Part shall be subject to negotiation between the Parties.

BEING a by-law to adopt the assessment on which the taxes shall be levied for
the year 1985, to levy the taxes for the year 1985 and to provide for the
collection thereof.
WHEREAS by action of the Province of Ontario, provision was made for the
taking of the assessment of the Municipality by the Regional Assessment
Commissioner, as the assessment on which the rate of taxation for the year
1985 should be levied.
AND WHEREAS it is necessary and expedient to levy on the whole rateable
property according to the last revised assessment roll of the said
Township the sum of $1,855,652. for the general purpose of the said Township
for the current year, for the payment of the County rate for the current
year and for the purposes of defraying part of the expenses of Public,
Separate and High School education and other purposes:
THEREFORE THE COUNCIL OF THE CORPORATION OF THE TOWNSHIP OF BAYHAM ENACTS
AS FOLLOWS:
1. THAT the assessment contained in the assessment roll of the Township
of Bayham as made pursuant to Province of Ontario Regulations, be
and the same is hereby adopted and confirmed as the assessment of
which the rate of taxation for the year 1985 shall be levied.
2. THAT the said assessment roll be and the same is hereby adopted and
confirmed as the last revised assessment roll for the said Township.
3. THAT, for the purpose of providing the sum fo $770,323. for the
general purposes of the Corporation, including the amount required
for County purposes and other purposes for the current year, a rate
of 121.917 mills on the dollar be and the same is hereby levied for the
the year 1985 upon the whole of the said assessment of the Township
according to the last revised assessment roll, except that on
assessment of X6,735,104 a reduction of 15% shall be made.

6. The Clerk shall prepare and deliver the Collector's Roll to the Tax
Collector on or before the 1st. day of August, 1985.
7. All taxes and other special rates shall be paid in the office of the

8. Taxes shall become due and payable one-half on or before August 30.

WHEREAS the Corporation of the Township of Bayham entered into
an Agreement with the Province of Ontario dated November 5,
1984, whereby the said Province of Ontario made a grant to the
said Corporation of the Township of Bayham in the amount of
Two Thousand, One Hundred Dollars ($2,100.).

WITNESSES THAT
WHEREAS the Province wishes to assist Ontario municipalities under
its program "Municipal Action 185" by funding individual municipal
initiatives aimed at increas'Lng productivity, improving cost
effectiveness, and refining staff* expertise;
AND WHEREAS the Municipality wishes to participate in the program.
AND WHEREAS the Municipal ity by by-law No -2 2 2 3 passed on the 18 t h
day of October , 1984, has authorized the Re eve and
the Clerk of the said Municipality to execute this
Agreement cn behalf of the Municipality;
NUW THEREFORE in consideration of the mutual covenants herein
contained the parties agree as follows:
1. The Municipality shall undertake or have undertaken the Project,
hereinafter referred to as the "Project" to implement a Financial
Information System, in accordance with Schedule "A" attached hereto
and forming part of this Agreement.
2. The Project shall be completed on/or before the 30th day of
September, 1985, hereinafter referred to as "the oampleticn date",
unless extended, up to a maximum period of six months, by mutual
consent of both parties. A penalty of 10% reimbursement of funds
to the Province may be imposed by the Province, if this aonditionv
is not met.
3. The Province agrees to contribute to the actual cost of the
Project, the sum of Two Thousand, One Hundred Dollars ($2,100.00)
to be paid in the following manner:
The Province may make a payment of Two Thousand, One
Hundred Dollars ($2,100.00) to the municipality as
soon as may conveniently be done after the signing
of this Agreement.

4. (a) In the event that the Project is not undertaken, the
Municipality agrees to return all monies advanced by the
Province, in accordance with section 3.
(b) In the further event that the Project although undertaken,
terminates prematurely for any reason, including termination
by the Province in accordance with section 10; the Province,
taking into account all the appropriate circumstances, may
determine, in its absolute discretion, that a portion of its
payment to the Municipality shall be returned by the
Municipality to the Province. The Municipality agrees to
forthwith make such repayment to the Province.
5. The Municipality shall provide the Province with a statement
certified by the Treasurer, setting out in such detail and in such
form as the Province may direct, the Project costs incurred or paid
by the Municipality in carrying out the Project. The Municipality
shall also provide to the Province invoices and receipts regarding
such costs, if so requested by the Province.
6. The Province or its agents may attend any meeting related to the
Project and to that purpose the Municipality shall advise the
Province of the time and place of all meetings in sufficient time
to facilitate attendance.
7. The Municipality shall at all times permit all staff or agents of
the Province to inspect any component of the Project. The
Municipality shall also submit to the Province progress reports at
such intervals as the Province may require.
8. All data, working papers and other documents prepared for or by the
Municipality in connection with this Project, including the
documentation, manuals or reports provided for in Schedule "AL%
shall be and remain the sole property of the Municipality.
However, the Province shall at all times, after the completion of
the Project and in consultation with the Municipality, have the
right to publish or otherwise disseminate any such documentation,
manuals and reports, except for documentation, manuals or reports
which the Municipality is prohibited by any agreement to which it
is a party, from publishing or otherwise disseminating.
9. The Municipality shall indemnify and save harmless the Province
from arra against all claims, actions, losses and expenses, costs or
damages of every nature and kind whatsoever which may be occasioned
as a result of the negligence of the Municipality or any consultant
or agent retained by the Municipality in connection with the
Project.
10. The Province may at any time, by written notice of at least seven
days to the Municipality, suspend or otherwise terminate this
Agreement.
11. Any notice herein provided for or given hereunder if given by the
Province to the Municipality shall be sufficiently given if mailed
to the Municipality by prepaid registered post addressed to it at:

THIS AGREEMENT made in triplicate this day of

BETWEEN: HER MAJESTY THE QUEEN, in right of

OF THE FIRST PART,

WHEREAS by Memorandum of Agreement dated the 5th day of November,
1984, a copy of which is hereto attached and marked as Appendix "A" and
hereinafter called the "Agreement", it was agreed by the parties thereto
that the Municipality participate in the Municipal Action 185 Program by
undertaking a project to implement a Financial Information System;
AND WHEREAS it has been agreed that the Provincial funding for the
said Project be increased by an additional Four Thousand Dollars
($4,000.00), as a result of increased cost for implementation of the
Financial Information System;
AND WHEREAS the Municipality by By-law No.,2 66 passed on the 5TH
day of S e p t e mb E! r , 1985, has authorized the Reeve and the Clerk of
the said Municipality to execute this Amending Agreement on behalf of
the Municipality;
NOW THEREFORE WITNESSETH THAT in consideration of the premises and
covenants contained herein the parties below agree as follows:
1. That the Agreement between the Province and the Township of Bayham
dated the 5th day of November, 1984, be amended by the addition of
the following paragraph:
"The Province, having made a payment of Two Thousand, One
Hundred Dollars ($2,100.00) to the Township, may now make a
further payment of Four Thousand Dollars ($4,000.00) to the
Township as soon as may conveniently be done after the signing
of this amending agreement".
2. The said Agreement subject to the above -noted amendment is hereby
continued upon the same terms and conditions as originally set out
therein.

3. This Amending Agreement shall be deemed to have come into force and
effect on the day of , 1985.

1. The Municipality shall undertake or have undertaken the Project,
hereinafter referred to as the "Project" to implement a Financial
Information System, in accordance with Schedule "A" attached hereto
and forming part of this Agreement.
2. The Project shall be completed on/or before the 30th day of
September, 1985, hereinafter referred to as "the completion date",
unless extended, up to a maximum period of six months, by mutual
consent of both parties. A penalty of 10% reimbursement of funds
to the Province may be imposed by the Province, if this condition
is not met.
3. The Province agrees to contribute to the actual cost of the
Project, the sum of Two Thousand, One Hundred Dollars ($2,100.00)
to be paid in the following manner:
The Province may make a payment of Two Thousand, One
Hundred Dollars ($2,100.00) to the Municipality as
soon as may conveniently be doge after the signing
of this Agreement.

4. (a) In the event that the Project is not undertaken, the
Municipality agrees to return all monies advanced by the
Province, in accordance with section 3.
(b) In the further event that the Project although undertaken,
terminates prematurely for any reason, including termination
by the Province in accordance with section 10; the Province,
taking into account all the appropriate circumstances, may
determine, in its absolute discretion, that a portion of its
payment to the Municipality shall be returned by the
IF Municipality to the Province. The Municipality agrees to
forthwith make such repayment to the Province.
5. The Municipality shall provide the Province with a statement
certified by the Treasurer, setting out in such detail and in such
form as the Province may direct, the Project costs incurred or paid
by the Municipality in carrying out the Project. The Municipality
shall also provide to the Province invoices and receipts regarding
such costs, if so requested by the Province.
6. The Province or its agents may attend any meeting related to the
Project and to that purpose the Municipality shall advise the
Province of the time and place of all meetings in sufficient time
to facilitate attendance.
7. The Municipality shall at all times permit all staff or agents of
the Province to inspect any component of the Project. The
Municipality shall also submit to the Province progress reports at
such intervals as the Province may require.
8. All data, working papers and other documents prepared for or by the
Municipality in connection with this Project, including the
documentation, manuals or reports provided for in Schedule "A",
shall be arra remain the sole property of the Municipality.
However, the Province shall at all times, after the completion of
the Project and in consultation with the Municipality, have the
right to publish or otherwise disseminate any such documentation,
manuals and reports, except for documentation, manuals or reports
which the Municipality is prohibited by any agreement to which it
is a party, from publishing or otherwise disseminating.
9. The Municipality shall indemnify arra save harmless the Province
from and against all claims, actions, losses and expenses, costs or
damages of every nature and kind whatsoever which may be occasioned
as a result of the negligence of the Municipality or any consultant
or agent retained by the Municipality in connection with the
Project.
10. The Province may at any time, by written notice of at least seven
days to the Municipality, suspend or otherwise terminate this
Agreement.
11. Any notice herein provided for or given hereunder if given by the
Province to the Municipality shall be sufficiently given if mailed
to the Municipality by prepaid registered post addressed to it at:

AND WHEREAS the Municipality by By-law No. 2266 passed on the STH
day of September , 1985, has authorized the Reeve and the Clerk of
the said Municipality to execute this Amending Agreement on behalf of
the Municipality;
NOW THEREFORE WITNESSETH THAT in consideration of the premises and
covenants contained herein the parties below agree as follows:
1. That the Agreement between the Province and the Township of Bayham
dated the 5th day of November, 1984, be amended by the addition of
the following paragraph:
"The Province, having made a payment of Two Thousand, One
Hundred Dollars ($2,100.00) to the Township, may now make a
further payment of Four Thousand Dollars ($4,000.00) to the
Township as soon as may conveniently be done after the signing
of this amending agreement".
2. The said Agreement subject to the above -noted amendment is hereby
continued upon the same terms and conditions as originally set out
therein.

3. This Amending Agreement shall be deemed to have come into force and
effect on the day of , 1985.

WHEREAS the Province wishes to assist Ontario municipalities under
its program "Municipal Action '85" by funding individual municipal
initiatives aimed at increasing productivity, improving cost
effectiveness, and refining staff e-cpertise;
AND WHEREAS the Municipality wishes to participate in the program.
AND WHEREAS the Municipality by by-law No 2 2 2 3 passed on the 18th
day of October , 1984, has authorized the Reeve and
the Clerk
of the said Municipality to execute this
Agreement on behalf of the Municipality;
NOW THEREFORE in consideration of the mutual covenants herein
contained the parties agree as follows:
1. The Municipality shall undertake or have undertaken the Project,
hereinafter referred to as the "Project" to implement a Financial
Information System, in accordance with Schedule "A" attached hereto
and forming part of this Agreement.
2. The Project shall be am pleted on/or before the 30th day of
September, 1985, hereinafter referred to as "the completion date",
unless extended, up to a maximum period of six months, by mutual
consent of both parties. A penalty of 10% reimbursement of funds
to the Province may be imposed by the Province, if this condition
is not met.
3. The Province agrees to contribute to the actual cost of the
Project, the sum of Two Thousand, One Hundred Dollars ($2,100.00)
to be paid in the following manner:
The Province may make a payment of Two Thousand, One
Hundred Dollars ($2,100.00) to the Municipality as
am as may conveniently be done after the signing
of this Agreement.

4. (a) In the event that the Project is not undertaken, the
Municipality agrees to return all monies advanced by the
Province, in accordance with section 3.
(b) In the further event that the Project although undertaken,
terminates prematurely for any reason, including termination
by the Province in accordance with section 10; the Province,
taking into account all the appropriate circumstances, may
determine, in its absolute discretion, that a portion of its
payment to the Municipality shall be returned by the
Municipality to the Province. The Municipality agrees to
forthwith make such repayment to the Province.
5. The Municipality shall provide the Province with a statement
certified by the 'Treasurer, setting out in such detail and in such
form as the Province may direct, the Project costs incurred or paid
by the Municipality in carrying out the Project. The Municipality
shall also provide to the Province invoices and receipts regarding
such costs, if so requested by the Province.
6. The Province or its agents may attend any meeting related to the
Project and to that purpose the Municipality shall advise the
Province of the time and place of all meetings in sufficient time
to facilitate attendance.
7. The Municipality shall at all times permit all staff or agents of
the Province to inspect any component of the Project. The
Municipality shall also submit to the Province progress reports at
such intervals as the Province may require.
8. All data, working papers and other documents prepared for or by the
Municipality in connection with this Project, including the
documentation, manuals or reports provided for in Schedule "A",
shall be and remain the sole property of the Municipality.
However, the Province shall at all 'dimes, after the completion of
the Project and in consultation with the Municipality, have the
right to publish or otherwise disseminate any such documentation,
manuals and reports, except for documentation, manuals or reports
which the Municipality is prohibited by any agreement to which it
is a party, frrm publishing or otherwise disseminating.
9. The Municipality shall indemnify and save harmless the Province
from and against all claims, actions, losses and expenses, costs or
damages of every nature and kind whatsoever which may be occasioned
as a result of the negligence of the Municipality or any consultant
or agent retained by the Municipality in connection with the
Project.
10. The Province may at any time, by written notice of at least seven
days to the Municipality, suspend or otherwise terminate this
Agreement.
11. Any notice herein provided for or given hereunder if given by the
Province to the Municipality shall be sufficiently given if mailed
to the Municipality by prepaid registered post addressed to it at:

WHEREAS the Council of the Corporation deems it expedient to enter
into the attached franchise agreement with Natural Resource Gas
Limited;
AND WHEREAS the Ontario Energy Board by its Order issued pursuant
to The Municipal Franchises Act on the :.5th. day of Maya 1982
has approved the terms and conditions upon which and the period
for which the franchise provided for in the attached agreement is
proposed to be granted, and has declared and directed that the
assent of the municipal electors in respect of this By-law is not
necessary.
NOW THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF
THE TOWNSHIP OF BAYHAM
1. THAT the attached franchise agreement between the Corpor-
ation and Natural Resource Gas Limited is hereby

for any of the purposes aforesaid and further together with the
right from time to time and at all times to use and operate a.gas

transmit gas in and through the Municipality and to provide gas
service to residents of the Municipality, and to bring in
transmit, produce, distribute, suppy and sell gas in and
through the Municipaltiy for fuel, heating and power, provided
however that the Company's right to provide gas service and to
distribute, supply and sell gas is restri'bted to those areas of the
Municipality set out in Schedule "A" to this Agreement.
2. The company shall well and sufficiently restore forthwith to a.
good condition as,they were in before the commencement of the
Company's operation to the satisfaction of the Municipal Engineer
(which term means from time to time such employee of the Municipalit
as the Municipality shall have designated as such for thepurposes
of this Agreement, or failing such designation, the senior employe
of the Municipality for the time being charged with the administra
tion of public works and highways of the Municipality) all highwayf.,
squares and public places which it may excavate or interfere' with
in the course of laying, constructing, or repairing or removing of
its mains, pipes, regulators, valves, curb boxes, safety appliance
and other appurtenances and shall make good any settling or subsi
ence thereafter caused by such excavation, and further, in the
vent of the Company failing at any time to do any work required
this Section the Municipality may forthwith have such work done an
charged to and collect from the Company the cost thereof and the

Company shall on demand pay any reasonable account therefor
certified by the Municipal Engineer.
3. The Company shall at all times wholly indemnify the Munici-
pality from and against all loss, damage and injury and expense
to which the
Municipality may be
put by. reason of any damage
or injury to
persons or property
resulting
from•the imprudence,
neglect or want of skill of the employees or agents of the
Company in connection• • with the construction, repair, maintenance
or operation by the Company of any of its • works in the
Municipality.
. All new (or renewal) mains, pipes, lines and works installe
the Company under this By -Law shall be constructed and laid
n accordance with good engineering and constructing practices.

(a) no excavation, opening or work (exclusive of service
connections from' the street main to the property line)
which will disturb or interfere with the travelled surface
of any highway shall be undertaken or commenced by the
Company without written notice to such officer of the
Municipality as may from t -;-Te to time be appointed by the
Council of the Municipality for the purpose of general
supervision over its highways • (hereinafter referred to as
"the said officer of the Municipality", which term shall
include the person acting in his stead in the event of
his absence from duty), such notice to be given at least
24 hours in advance of commencing such work unless other-
wise agreed to by the said officer of the Municipality,
and
(b) before laying or installing any new (or renewal) mains,
pipes, lines and works (exclusive of service connections
from the street main to the property line) , the Company
shall first file with the said officer of the Municipality
a preliminary map or plan showing what it proposes to lay
or install and the proposed location thereof and shall also -
check with and obtain the written approval of the said offic
of the Municipality as to such proposed location.
Insofar as is reasonably practicable, all lines and works
structed or installed by the Company shall be placed under -
rounds and, except where it shall be ne'cess-ary to cross a highway,
long the sides of the highway. All lines and' works constructed
y the Company shall be so constructed as when completed not to
struct or interfere with or render more difficult'or dangerous

he use of the highway or any municipal sewers, water pipes,
rains, bridges, culverts or ditches 'thereon or therein, or
ether municipal works or improvements thereon or therein or
he improvement or repair thereof, or with the roads or bridges
o property fronting thereon, and wherever any such line shall
carried across an open drainage ditch, it shall be carried
ither wholly under the bottom thereof or above the top thereof,
o as not in any way to interfere with the carrying capacity, of
uch ditch. '
The Company shall use at all times proper and practible
eans to prevent the escape or leakage of gas from its mains and
ipes and the causing of any damage or injury therefrom to any
erson or property.
The rates to be charged and collected and the terms of
ervice to be provided by the Company for gas supplied by it
nder this franchise shall be the rates and the terms of service
pproved .or fixed by the Ontario Energy Board or by any other
erson or body having jurisdiction to approve or fix such rates
r terms of service. Any application to approve or fix rates
o be charged and collected or terms of services to be provided

The Municipality will not build or permit any Commission

(a) This Agreement and•the respective rights and obligation
ereunto of the parties hereto are hereby declared to be subject
o the provisions of all regulating statutes and to all orders
nd regulations made thereunder and from time to time remaining
�n effect; and in event of any dispute or disagreement between

he parties hereto as to the meaning or interpretation of
nything herein contained or as to the performance or non-

erformance by either of such parties of any of the provisions
ereof or as to the respective rights and obligations of the
arties hereto hereunder, either or such parties may refer such
ispute or disagreement to arbitration under the provisions of
aragraph 9 (b) hereof.
(b) Whenever The Municipal Arbitrations Act, R.S.O. 1970,
:hapter 286 shall extend and apply to the Municipality any'
-eferences to arbitration pursuant to the provisions of Paragraph
(a) hereof shall be to the Official Arbitrator appointed under the
kct and shall be governed by the provisions of that Act. At any
)they time the procedure upon an arbitration pursuant to the pro-
►isions of the said Paragraph 9(a) shall be as follows:
Within twenty days after the .written request of either
of the parties hereto for arbitration each of them
shall appoint one arbitrator and the two so appointed
shall, within twenty days after the expiring of such
twenty -day period select a third. In case either of
the parties hereto shall fail to name an arbitrator
within twenty days after the said written request for
arbitration, the arbitrator appointed shall be the
only arbitrator, In case the two arbitrators so appointed
are unable to agree on a third arbitrator within twenty
days after the expiry of the first. twenty -day period
above-mentioned, application shall be made as soon as
reasonably possible to any Judge of the Supreme Court of
Ontario for the appointment of such third arbitrator.
The arbitrator or arbitrators so appointed shall have
all the powers"accorded arbitrators by The Arbitration
Act, R.S.O. 1970, Chapter 25 as from time to time amended,
or any Act in substitution therefor. The decision of the
said arbitrator or, arbitrators (or of a majority of such
arbitrators) shall be final and binding on the parties
hereto.
0. In the event of the Company being prevented from carrying
ut its obligations under this Agreement by reason of any cause
eyond its control, the Company shall be relieved from such
ligations while such disability continues and in the event of
ispute as to the existence of such disability such dispute shall
e determined as hereinbefore provided. Provided, however, that
e provisions -of this paragraph 10 shall not relieve the Company

rom any of its obligations as set out in paragraph 3 hereof.

11. The franchise hereby granted shall be for a term of thirty
(30) years ,from and after the final passing of the By-law; provide
hat if at any time prior to the expiration of the said term of
hirty (30) years or prior to the expiration of any renewal thereo
he Company shall notify the Municipality in writing that it
esires - a renewal thereof for a further period, the Municipality
ay but shall not be obliged to renew by By -Law this. Agreement f r
ime to time for further periods not exceeding thirty (3Q) years at
y time.
2. For the purpose of this Agreement and of any matters arising
ut of same the Municipality shall act by the Council thereof.
3. Wherever the word "highway" is used in this Agreement or in
he said By-law it shall mean common and public highways and shall
nclude any bridge forming part of a highway on or over and across
hick a highway passes and any public square, or road allowance an
hall include not only the travelled pertion. of such highway but
lso ditches, driveways, sidewalks and sodded areas forming part
. ibf the road allowance.
4. Upon the expiration of this franchise or any renewal thereof
he Company shall have the right, but nothing herein contained
hall require it, to remove its mains, pipes, plant and works laid
n the said highway. Provided that forthwith upon the expiration
f this franchise or any renewal thereof the Company shall deacti-
ate such pipeline in the Municipality. Provided further that if
he Company should leave its mains, pipes, plants and works in the
ighway as aforesaid and the Municipality at any time after a laps
f one year from termination require the removal of all or any of
he Company's said facilities for the purpose of altering or
mproving the highway or in order to facilitate the construction o
tility or other works in the highway the Municipality may remove
nd dispose of so much of the Company's said facilities as the

all have recourse against the other for any loss, cost or
pense occasioned thereby.
5. Any notice to be given under any of the provisions hereof
nay be effectually given to the Municipality by. delivering the
ame to the 'Municipal Clerk or by sending the same to him by
gistered mail,.postage prepaid, addressed to

tario,• and to the Company by delivering the same to its Manager
other -Chief Officer in charge of its place of business in the

y mail the same shall be deemed to have been given on the day

It is recognized that gas is a public utility, the. use of
ich may' be essential to the proper development of any new area
subdivision. The.Municipality therefore may notify the Company
each new plan of subdivision before the same has been approved
the Council and to take any reasonable steps to ensure that in

OF BAYHAM pursuant to the provisions of The Municipal Act that
all actions by the said Council by by-laws and resolutions
passed at the regular meeting held Sept. 5. 1985and special

A By-law to provide for the Maintenance of the Adler,
Arn, Bartley, Benner, Berdan-Cheesman, Bryant, Carnes,
Carruthers, Casier, Chalk, Cheesman, Coomber -'A-',
Coomber 'B', Coomber 'F', Csinos, Deli, Emerson, Fearnley,
Fisher, Grigg, Hampton, Kapin, Pearson, Mitts, No. 1,
Phillips, Ramsey, Scanlan, Schooley, Stewart, Todd, Winter
(Bayham), Winter (Houghton).Municipal Drains and to raise
the sum of $11,417.86 to pay therefor.
WHEREAS the above mentioned drains were constructed under the provisions of
the Drainage Act, and according to the several by-laws of the municipality,
providing for such construction, and according to the various reports of
the Township Engineers made thereon.
AND WHEREAS it is provided by the said reports, by --laws and Drainage Act
that the municipality of the Township of Bayham, shall maintain the said
Drainage works, at the expense of the land and roads in the said Township
in any way assessed for the construction thereof, in the portion according
to such assessment, until such assessments or portions thereof, be varied.
AND WHEREAS in compl1an.c3ewith such duty, the Municipality has from time
to time, carried out certain minor repairs on the said drains.
AND WHEREAS it is desirable to make a pro rata assessment and levy
pursuant to the said Drainage Act, upon the lands and roads assessed for
the construction of the aforesaid drains, so as to provide for and raise
the cost of the said repairs and expenses incidental thereto which amount
in all to $11,417.86 to the lands and roads assessed, and the amount of
the assessments upon which the assessments and proportions hereby made are
fixed, appear upon attached Schedule of Assessments, which said Schedule
is a part of this by-law.
AND WHEREAS it is deemed expedient to levy the amounts in 1985.
NOW THEREFORE the Municipal Council of the Corporation of the Township of
Bayham enacts as follows:
1. That for the purpose of paying the said repairs and expenses incidental
thereto or for repaying into the General Funds of the Municipality the
amount or cost thereof the sum of $6,356.39 the amount charged against the
lands of the drainage works, and now assegsable for Maintenance, the
following total special rates and amounts as set out in the Schedule of
Assessments attached hereto find forming a part of this By-law, shall
over and above all other rates be assessed and levied and collected in the
same manner and at the same time as other taxes are levied and collected
upon and from the undermentioned lots or parts of lots as specified in
the attached schedule of assessments in the present year, 1985.
2. THAT for the purpose of paying the sum of $1,074.72 the amount
charged against said roads of the Municipality, and $755.65 the amount
charged against other Municipalities, the Province of Ontario, and
other Boards and Corporations for the aforesaid purpose, accounts shall
be levied against the roads of the Municipality and against the other
Municipalities, the Province of Ontario, and other Boards and
Corporations to pay the aforesaid amounts.
3. THAT the sum of $3,231.10 be charged to the Treasurer of Ontario
under the Drain Maintenance Grants Program for repairs to drains serving
agricultural lands.

OF SEPTEMBER, 1985.

CORPORATION OF THE

BY-LAW NO. 2273
BEING a By-law to amend By-law No. 2232 providing for the con-
struction of the Eden Municipal Drains, and levying assessr:-ents
thereto.
WHEREAS By-law No. 2232 providing for the construction of the Eden
Municipal Drains under the provisions of the Drainage Act, was
passed by the Municipal Council of the Corporation of the Township
of Bayham on the 21st of February, 1985.
AND WHEREAS the amount specified in the said By-law as the
Township of Bayham's share of the cost for the construction of the
said drain was $ 38,400.
AND WHEREAS the actual cost of the work all expenses included was
$36,875.42 to which a grant of $1,743.94 has been applied to
agriculture.lands leaving a net cost of $35,131.48, being $3268.52
less than the estimated cost.
'AND WHEREAS it is provided by The Drainage Act, that such surplus
funds shall be decreased in pro rata proportions to the assessments
contained in the original By-law each year during which the
debentures have to run.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF
THE TOWNSHIP OF BAYHAM:
1. THAT the sum of $2565.75 being the amount over estimated as
assessed against lands as provided iT1 By-law 2232 be and the same
is hereby decreased in pro rata proportiOTLS to the assessments as
contained in the said By-law No. 2232 andthe amounts are shown on
the schedule of assessments hereto attached and which form a part
of this By-law.
2. THAT the sum of $702.77 being the amount over estimated as
assessed against roads as provided for in By-law No. 2232
be and the same is hereby increased in pro rata proportions to
the roads assessed in By-law NO. 2232, said amount is hereby shown
in the schedule of assessments hereto attached and which form a
part of this By-law.
3. THAT the said sum of $3268.52 shall be deducted from the
amount of the total assessments contained in By-law No. 2232
and the debentures to be issued as provided for in By-law NO. 2232
shall be as provided for in By-law NO. 2232.
4. THAT the interest rate on the said debentures as provided for
in By-law No. 2232 shall be eleven per cent (11%) per annum.
5. THAT this By-law comes into force on the final passing thereof
and may be cited as the "Eden Municipal Drains Amending By-law".

To close and stop up and sell part of
Second street,East of Main Street on
Registered Plan No. 113 for the Hamlet
of Eden
WHEREAS it: is deemed expedient ir_ the interest of the Municipal
Corporation of Township of Bayham, hereinafter culled the Cor-
porction, that the road allowance set out and described. Jn
Schedule "A" attached hereto be closed and stopped tip, and the
land sold to the adjoining land owners.
AND WHEREAS notice of this By-law has been published once a week
for four successive weeks in the Ti llsonburg Net•:s, a Newspaper
published tri -weekly in the Town of Tillsonburg;
AND WHEREAS notice of this has bE.en posted up for at least one
m:)nth, in I ix of the moot public places in the immediate ne?_ghbourhood
of the said tznoperied road allowance
ANI: WHEREAS THE Coun(-:il for the said Corporation has heard in person
or by his counsel, solicit -or or agent, all persons claiming that
their land will be p;:f•judicially affected by this B; -law and who
applied to be heard.
NOW THEREFORE, THE COUNCIL OF THE TOWNSHIP OF BAYHAM ENACTS AS
FOLLOWS:
1. That upon F.nd after the passing of this By-law all that portion
of the allowance for the road set out and desc-gibed in Schedule "A"
attached hereto, be and the same is hereby closed and stopped up.
2. All that pc -:rt of the said road allowance herein before described

any of them.
3. The Reeve and Clerk of the Corporation of the Township of Bayll.;m

Talbot Road, in the Township of Bayham. The
was acquired from Tony and Stella Gindrick
129 was acquired from Ethel Biro.
Approximately four years ago the County of Elgin
expropriated portions of our clients' lands for road widening
purposes with the result that the description to the Biro lands
will undoubtedly require up -dating. As of this moment I have
not had an opportunity of attending at the Registry Office to
check the title to the property, however as I am given to understand.
that your firm did the survey work on behalf of the County I wonder
if you would be able to provide me with a copy of the current
description for those portions of the Biro lands lying north of
County Road 38 and south of the Talbot Road. In other words the
lands owned by our clients could be described as being triangular
in size, however the old description which we have is no doubt
no longer acceptable to the Registry Office.
Since the change in description was necessitated
by virtue of the County's expropriation of the property we feel
that it is incumbent upon the County to provide us with a new
proper description for the lands in question.
