Whereas the Council of the Township of Bayham
(hereinafter called the "XIunicipality") deems -it necessary to borrow the sum
of S 1,650,000. to meet, until the taxes are collected, the current
expenditures of the Municipality for the year;

Therefore the Council of the Township of Bayham
hereby enacts as follows:
1. The Head and the Treasurer are hereby authorized on behalf of the Municipality to
borrow from time to time by way of promissory note from CANADIAN IMPERIAL BANK
OF COMMERCE a sum or sums not exceeding in the aggregate $1 , 6 50.1 000.
to meet until the taxes are collected the current expenditures of the Municipality
for the year, including the amounts required for the purposes mentioned in subsection
(1) of Section 332 of the Municipal Act, and to give on behalf of the Municipality
to the Bank a promissory note or notes sealed with the Corporate Seal and signed by
the Head and Treasurer for the moneys so borrowed, with interest at such rate
as may be agreed upon from time to time with the Bank.
2. All sums borrowed pursuant to the authority of this by-law, as well as all other sums
borrowed in this year and in previous years from the said Bank for any or all of the
purposes mentioned in the said Section 332, shall, with interest thereon, be a charge
upon the whole of the revenues of the Mupicipality for the current year and for all
preceding years as and when such revenues are received.
3. The Treasurer is hereby authorized and directed to apply in payment of all sums
borrowed as aforesaid, together with interest thereon, all of the moneys hereafter
collected or received either on account or realized in respect of taxes levied for the
current year and preceding years or from any other source which may lawfully be
applied for such purpose.

CORPORATION OF THE

BY - LAW NO. 2199..
BEING a By-law to establish a Penalty
Charge for Non -Payment of Current
Taxes and to provide for Interest to
be added to Tax Arrears.
WHEREAS under the Provisions of the Municipal Act, R.S.O.
1980, a municipality may impose penalties on overdue
taxes in 1984;
AND WHEREAS a municipality may impose an interest charge
on tax arrears;
NOW THEREFORE THE COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF BAYHAM ENACTS:
(1) THAT overdue taxes are those taxes that are levied
in 1984 and are not paid on or before the day
payment is due;
(2) THAT tax arrears are taxes that are due and unpaid
after December 31st. of the year in which they were
levied;
(3) THAT the penalty charge to be added to overdue taxes
and the interest charge to be added to tax arrears
shall be fifteen % per annum.
(4) THAT the percentage charge as a penalty for non-
payment of current taxes shall be imposed on the
first day of default and on the first day of each
calendar month thereafter in which default
continues, but not after Decembdr 31, 1984;
(5) THAT the Corporation shall give notice of the
penalty rate to be imposed under Sections 3 and 4
of this by-law in accordance with Subsection 6 of
Section 386 of the Municipal Act, R.S.O. 1980,
Chapter 302;
(6) THAT the Treasurer shall add to the amount of all
tax arrears due and unpaid, interest as specified
in Section 3 of this by-law at the rate of one
and one quarter % per month for each month or
fraction thereof from the day this by-law takes
effect;
(7) This by-law shall take effect on April 1, 1984.

BEING a by-law to adopt the assessment on which the taxes shall be levied for
the year 1984, to levy the taxes for the year 1984,and to provide for the
collection thereof.
WHEREAS by action of the Province of Ontario, provision was made for the
making of the assessment of the Municipality by the Regional Assessment
Commissioner, as the assessment on which the rate of taxation for the year
1984 should be levied.
AND WHEREAS it is necessary and expedient to levy on the whole rateable
property according to the last revised assessment roll... of the said
Township the sum of $1,720,168. for the general purpose of the said Township
for the current year, for the payment of the County rate for the current year
and for the purposes of defraying part of the expenses of Public, Separate
and High School education and other purposes:
THEREFORE THE COUNCIL OF THE CORPORATION OF THE TOWNSHIP OF BAYHAM ENACTS
AS FOLLOWS:
1. THAT the assessment contained in the assessment roll of the Township
of Bayham as made pursuant to Province of Ontario Regulations, be
and the same is hereby adopted and confirmed as the assessment of
which the rate of taxation for the year 1984 shall be levied.
2. THAT the said assessment roll be and the same is hereby adopted and
confirmed as the last revised assessment roll for the said Township.
3. THAT, for the purpose of providing the sum of $724,695. for the
general purposes of the Corporation, including the amount required
for County purposes and other purposes for the current year, a rate of
117.119 mills on the dollar be and the same is hereby levied for the
year 1984 upon the whole of the said assessment of the Township
according to the last revised assessment roll, except that on
assessment of $6,621,004. a reduction of 15% shall be made.
4. THAT in addition, for the purpose of providing the sum of $995,473.
for Public, Separate and High School Education purposes for the
current year the following mill rates be and the same are hereby
levied for the year 1984 upon the respective portions of the said
assessment of the School Supporters of the said Township according
to the last revised assessment roll, as indicated hereunder: -

The Clerk shall prepare and deliver the Collector's Roll to the Tax
Collector on or before the lst. day of August, 1984.
All taxes and other special rates shall be paid in the office of the
Tax Collector or Treasurer of the Township of Bayham.
Taxes shall become due and payable one-half on or before August 31,
1984 and one-half on or before November 30, 1984. Penalties for
non-payment when due and discounts for prepayment of taxes shall be
as provided for in Township of Bayham By-laws, (penalties at the rate
of one and one quarter per cent per month commencing the first day of
default of payment, and discounts at the rate of one-half per cent
per month for each month for which pre -payment is made), subject
also to the provisions of By-law No. 1697.
The Collector shall have the privilege of mailing the tax notices
the several taxpayers of the Township at their known address.

BEING a By-law to authorize the Reeve and Clerk to execute
an agreement to lease the Bayham Township Library building
to the Elgin County Library Board.
WHEREAS the Corporation of the Township of Bayham has
erected a building for the purposes of serving the residents
as a public library=
AND WHEREAS the Council of the Corporation of the Township of
Bayham deems it expedient to lease the building to the Elgin
County Library Board to carry out the management and operation
funct-ons of the said library service.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF
THE TOWNSHIP OF BAYHAM
1. THAT the Reeve and Clerk are hereby authorized to execute
an agreement to lease the building known as the Bayham
Township Library, located at Lot(s) 5 and Part of Second
Street (Closed), Plan 205 for the Village of Strafford-
ville and designated as Part 1 on Registered Plan 11 R
2358, with the Elgin County 1.1 brary Board.
2. THAT the said lease be attached*to and form a part of
this by-law and be designated as Schedule'A' hereto.

IN PURSUANCE OF THE SHORT FORMS OF LEASES ACT
B E T IV E E N :
A N D :
THE CORPORATION OF THE TOWNSHIP OF
BAYHAM, IN THE COUNTY OF ELGIN
hereinafter called the "MUNICIPALITY"
OF THE FIRST PART
THE ELGIN COUNTY LIBRARY BOARD
hereinafter called the "COUNTY BOARD"
OF THE SECOND PART
IN THIS LEASE, unless the context indicates otherwise, "Maintenance
Percentage Ratio" (M.P.R.) shall mean the ratio that the area of
any building occuped by the Library Board bears to the total area
of the building.
WHEREAS the Municipality owns certain lands in the Township of
Bayham, in the County of Elgin, and is constructing or causing
to be renovated a building located thereon, in accordance with
the Plans and Specifications attached hereto and marked Appendix
"All
AND WHEREAS the Municipality deems it expedient to lease all of
such building to the County Board, subject to the terms and
conditions hereinafter set forth.
NOW THEREFORE THIS LEASE WITNESSETH that in consideration of the
covenants and agreements hereinafter reserved and contained herein
on the part of the County Board, the Municipality doth demise and
lease unto the County Board, its successors and assigns, all those

certain premises hereinafter called the"lleased premises" which
consist of approximately 4000 square feet and which are more
particularly shown on Schedule "A" attached hereto and forming
part of this Lease and which leased premises form all of a
building'being constructed by the Municipality on the lands which
are more particularly described in Schedule "B" attached hereto
and forming part of this lease.
TO HAVE AND TO HOLD the leased premises together with the rights
described hereinabove for the term of forty (40) years to be
computed from the day on which the County Board takes possession
of the leased premises or thirty (30) days after they are
reasonably fit for occupation, whichever is the earlier, and the
earlier of such dates shall be the date on which the term commences.
YIELDING AND PAYING THEREFOR yearly during the said term and any
s
renewal thereof to the Municipality, 100% (Maintenance Percentage
Ratio) of all the Municipality's cost of operating, maintaining
and repairing the building during such year, and without limiting
the generality of the foregoing,
(a) the cost of all fuel, oil, gas, electricity and water supplied
to the building for heating, lighting and all other purposes;
(b) the total of salaries, wages and other payments made by the
Municipality to its janitors and caretakers or to any other
person or corporation with whom the Municipality contracts
for the operation, maintenance and repair of the building;
(c) the cost of premiums paid by the Municipality for insurance
on the building and its operations;
(d) the cost of all cleaning and maintenance supplies and of all
materials and things required to operate, maintain and
repair the building, but excluding
(i) the cost of any furniture and interior fittings
purchased by the Municipality for its own use,
(ii) all salaries, wages and other payments made by the
Municipality to its staff, other than those persons
or corporations in (b) above, and
(iii) the cost of repairing any damage to the building

caused by the negligence of the Municipality or its
agents, servants or invitees.
Nothing in (i) above shall relieve the County Board from the payment
of any amount hereinafter agreed to be paid by the County Board to
the Municipality.
The first payment on account of the Municipality's costs shall
become due and payable on the 1st day of March, June, September or
December immediately following the commencement date of the term.
Thereafter the costs shall be paid quarterly on presentation of
detailed accounts. The first such quarterly payment to be made
on September 1st, 1984. Provided however that no payment shall be
made until the County Board has received an itemized statement of
the cost for the period of time for which payment is due.
For budget purposes, the estimates of each year shall be mailed
to the County Board by the Municipal Clerk on or before the 1st
day of October in the preceding year.
Upon request, the Municipality shall supply an audited statement
of cost for the preceding year.
If the County Board duly and regularly pays the costs and performs
all of the provisos and agreements contained herein on the part of
the County Board to be performed, the Municipality shall, at the
expiration of the term hereof, and at the written request from
the County Board, grant to the County Board a renewal and
extension of this Lease for a further period of ten (10) years
upon the mutually agreed terms and conditions as contained herein;
provided always that if the County Board shall have given to the
Municipality six (6) months' notice of termination in writing
before the expiration of the term hereof, this Lease shall terminate
on the expiration of the term.

If the County Board exercises its right of renewal as provided
in the above paragraph, and duly and regularly pays the costs and
performs all of the provisos and agreements contained herein on
the part of the County Board to be performed, the Municipality
shall, at the expiration of the first renewal term, at the written
request from the County Board, grant to the County Board a second
renewal and extension of this Lease for a further period of ten
(10) years upon the mutually agreed terms and conditions hereinbefore
provided for the first renewal except as to any further rights of
renewal; provided always that if the County Board shall have given
to the Municipality six (6) months' prior notice of termination
in writing before the expiration of the first renewal term, this
Lease shall terminate on the expiration of the first renewal term.
The County Board covenants and agrees with the Municipality as
follows:
(a) to pay the costs referred to aljuve;
(b) to use the leased premises in a tenant -like manner and
to leave the leased premises in a clean and tidy condition;
(c) to use the building, excluding the leased premises, and
the grounds surrounding the building and to cause its
agents, servants and invitees to use the same in
accordance with the rules and regulations from time to
time established by the Municipality for the use of such
areas by all persons:
(d) not to permit anything to be done on the leased premises
which may be deemed to be a nuisance or by which the
insurance on the building will be increased;
(e) not to use the leased premises except as part of a public
library;
(f) to pay for any loss or damage to the Municipality's
contents within the building or for any loss or damage
to the building including the leased premises when any

such loss or damage is caused by its negligence or that
of its agents, servants or invitees and any cost payable
pursuant to this provision shall not be included in
calculating the costs (M.P.R.) as hereinbefore provided;
(g) not to allow any refuse, garbage or other loose or
objectionable material to accumulate in or about the
building including the leased premises and on the
grounds surrounding the leased premises;
(h) not to injure or remove or permit its agents, servants
and invitees to injure or remove any shade trees,
shrubbery, hedges, or any other trees or plants which
may be in or on the lands surrounding the building;
(i) to give to the Municipality immediate written notice of
any accident or defect in the water pipes, gas pipes
or heating apparatus, electrical lights or other wires
within the leased premises;
(j) that if the County Board shall be in default in respect

to any of its covenants and such default shall continue
for thirty (30) days after notice of such default to
the County Board, the Municipality, may, at its option,
repossess the leased premises and the said Lease shall
thereupon terminate; and
(k) not to assign or sublet except with the consent of the
Municipality which shall not be unreasonably withheld
if the sub -tenant or assignee is a public library
authority established under any general or special Act.
The Municipality covenants and agrees with the County Board as
follows:
(a) as soon as the leased premises are reasonably fit for
occupancy to cause the Clerk of the Municipality to
send notice to such effect to the County Board;
(b) to provide sufficient heating of the leased premises
to maintain a reasonable temperature therein at all
times during normal business hours, except during the
making of repairs to the heating equipment;

(c) to give free use to the County Board and all persons
designated by the County Board and all persons in common
with the Municipality and all persons designated by it,
of all stairways, hallways, entrances and common areas
used by the public within the building for all library
purposes and for providing ingress to and egress from
the Leased premises;
(d) to supply hot and cold water to the washrooms and sinks
in the leased premises;
(e) to provide adequate toilet facilities for male and female
employees to comply with the requirements of The
Industrial Safety Act, 1980 and any other provincial
requirements or regulations or municipal by-laws and
to permit the County Board, its servants and agents, to
use the said toilet facilities and to keep them in good
working order;
(f) to supply the leased premises with electric power;

(g) to remove snow and ice from the sidewalks and driveways
adjacent to and leading to the building and to reasonably
maintain the grounds around the building;
(h) to promptly repair and keep the building, including the
leased premises and every part thereof, in good repair,
order and condition and whenever any structural repair
is required to any part of the building, to consult with
the County Board as to the nature and need for such repair
before making the same;
(i) to supply janitor service to the leased premises and
to cause, whenever reasonably necessary, the floors and
windows (inside and outside) of the leased premises to
be swept and cleaned and the desks, tables and other
furniture of the County Board to be dusted, waste baskets
emptied and to keep the washrooms in proper repair and
condition and to furnish washroom supplies;

(j) to provide air-conditioning within the leased premises
except during the making of repairs to the equipment,
so as to maintain a temperature and working condition
suitable for comfortable occupancy by the County Board,
its employees and invitees;
(k) to obtain and maintain, at all times, insurance as
follows :
(i) insurance against loss or damage to the building
by fire, lightning or tempest with the usual
IM. additional perils as covered by extended coverage
and to the full insurable value of the building
on a replacement costs basis with loss payable
to the Municipality and the County Board as their
interests may appear (i.e. maintenance percentage
ratio) and the Clerk of the Municipality shall
cause a statement of en(icrsement to be sent to
the County Librarian yearly.;
(ii) general public liability insurance in an amount
satisfactory to the Municipality and the County
Board against claims for personal injury, death
or damage to property ocurring upon or in or about
the building including the leased premises with the
Municipality and the County Board named as the
insureds; and
(iii) pressure vessels and other apparatus which may be
in, about or upon the building in such amount or
amounts as the Municipality and the County Board
may agree upon a replacement costs basis with loss
payable to them as their interests may appear.
(1) to pay for any loss or damage to the County Board's W
contents within the building or for any loss or damage
to the leased premises when any such loss or damage is
caused by its negligence or that of its agents, servants
or invitees and any cost payable pursuant to this
provision shall not be included in calculating the
costs (M. P . R. ) as hereinbefore provided.

The County Board with prior approval obtained from the County
Council,in consideration of the covenants contained herein on
the part of the Municipality, covenants and agrees with the Municipality
(a) to pay to the Municipality the sum of $35,000.00
to be used by the Municipality for the Capital Cost
of construction, reconstruction and/or renovations
of the building herein referred to;- and
(b) to pay 1000 of the cost of the furniture, interior
fittings, shelving and magazine racks utilized by the
County Board in the leased premises.
If the leased premises are totally destroyed by fire or other
cause for which the Municipality is insured, the Municipality may
at its option replace the building according to plans approved
by the Municipality and the County Board. If the Municipality
elects to replace such building, the proceeds payable under the
insurance policy or policies shall6De used for such purposes. If
the building is not replaced, the M.P.R. of such proceeds shall be
paid to the County Board and thereupon this Lease shall terminate.
If the leased premises are partially destroyed by fire or other
cause for which the Municipality is insured, the Municipality may
at its option repair the damaged portion of the building according
to plans approved by the Municipality and the County. If the
Municipality elects to replace the damaged portion of the building,
the proceeds paid under the insurance policy or policies shall be `
used for such purposes. If such building is not repaired, the
M.P.R. of such proceeds shall be paid to the Board, and if 50% of
the leased premises have been partially destroyed, this Lease shall
terminate.

Where any option is given to the Municipality to repair or replace
the existing building or to pay to the County Board the M.P.R. of the

proceeds received by it under any insurance policy or policies,
the Municipality shall elect to repair or replace the existing
building or elect to pay such sum within ninety (90) days of the
fire or cause of the damage and if it elects to pay such sum, it
shall be paid within fifteen (1S) days of the election, if such sum
has already been received or within fifteen (15) days of receipt
whichever is the later.
In any case where the Municipality elects to replace or repair
the building and the proceeds from the Municipality's policy or
policies of insurance are not sufficient to meet the cost of the
repairs or replacements, the County Board shall pay the Municipality
the M.P.R. of the difference. Such difference shall first be
paid by the Municipality by a single payment or by advances as it may
determine and upon making a single payment or any advance, it
shall submit a statement to the County Board for the M.P.R. of
such single payment or advance ajid the amount thereof shall be
paid by the County Board to the Municipality within fifteen (15)
days. The County Board agrees that if it defaults in making any
down payment within the time provided in this paragraph, interest
at the rate paid by the Municipality to borrow funds to replace
those not paid by the County Board shall be paid to the Municipality.
Each of the parties hereto agrees that if it defaults in making
any payment required to be made herein by it, interest at the rate
charged by the Municipality to borrow the funds at the time of 'g
default, shall, if demanded, be paid by it to the payee.
The Municipality covenants with the County Board for quiet enjoyment.
PROVIDED that the County Board may remove its fixtures brought by
it to the leased premises provided that it makes good any damage
in so doing.

PROVIDED that the County Board shall have the priviledge of affixing
such signs as do not permanently disfigure the building and as may
be approved by the Municipality in writing and such approval shall
not be unreasonably withheld.
If the County Board should hold over after the original term, or
after any renewal thereof, such holding over -shall be construed
to be a tenancy from year to year only, and shall have no greater
affect, any custom, statute, law or ordinance to the contrary,
notwithstanding. Such year to year tenancy shall be governed by
the terms and conditions of this Lease, notwithstanding any
statutory provisions or rules of law with respect to the incidents
of the year to year tenancy, and shall be subject to termination
upon six (G) months' notice in writing.
Any notice required by this Lease shall be sent or any notice
requesting a renewal or extension of this Lease or any notice as
to any breach of covenant or any notice as to changing the address
to which notices, statements or estimates are to be sent, shall
be sent by prepaid registered mail and when the notice is to
the Municipality, it shall be addressed as follows:

BEING a By-law to amend By-law No. 2173 providing for the
construction of the Luyt Municipal Drain, and levying
assessments thereto.
WHEREAS By -Law No. 2173 providing for the construction of
the Luyt Municipal Drain under the provisions of the
Drainage Act, was passed by the Municipal Council of the
Corporation of the Township of Bayham on the 20th. day of
October 1983.
AND WHEREAS the amount specified in the said By-law as
the Township of Bayham's share of the cost for the const-
ruction of the said drain was $13,100.
AND WHEREAS the actual cost of the work all expensEs
included was $14,934.65 to which a grant of $4,022.52
has been applied to agricultural lands leaving a net cost
of $10,912.13 being $2,187.87 less than the estimated cost.
AND WHEREAS it is provided by The Drainage Act; ---that such
surplus funds shall be decreased in pro rata proportions to
the assessment contained in the original By-law each year
during which the debentures have to run.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION
OF THE TOWNSHIP OF BAYHAM:
1. THAT the sum of $2,162.87 being the amount over
estimated as assessed against lands as provided in By-
law 2173 be and the same is hereby decreased in pro
rata proportions to the assessments as contained in
the said By-law No. 2173 and the amounts are shown on
the schedule of assessments hereto attached and which
form a part of this by-law.
2. THAT the sum of $25.00 being the amount over estimated
as assessed against the Canadian Pacific Railway as a
special assessment be and the same is hereby decreased,
said amount is hereby shown in the schedule of assess-
ments, hereto attached and which form a part of this
By-law.
3. THAT the said sum of $2,187.87 shall be deducted from
the amount of the total assessments contained in By-
law No. 2173 and the debentures to be issued as pro-
vided for in By-law No. 2173 shall be as provided for
in By-law 2173.
4. THAT the interest rate on the said debentures as
provided for in By-law No. 2173 shall be fifteen per
cent (15%) per annum.
5. This By-law comes into force on the final passing
thereof, and may be cited aE she "LUYT MUNICIPAL DRAIN

Being a By-law to authorize the Reeve and Clerk
to execute the conveyance of a closed road
allowance to Barbara Van Der Pas. .
WHEREAS By-law No. 286 authorized the conveyance of a portion of
the road allowance between the South Half of Lot No. One Hundred
Thirteen and the South Half of Lot No. One Hundred and Fourteen,
South Talbot Road,to Andrew Beattie upon the condition that he
convey to this Township the road travelled in -lieu -of the
closed road allowance, said By-law being registered as Instru-
ment No. 5701;
AND WHEREAS the conveyance to the said Andrew Beattie was never
made;
AND WHEREAS the said closed road allowance has been occupied by
predecessors in title for their sole and only use;
AND WHEREAS it is now deemed expedient to convey that portion of
the said road allowance to Barbara Van Der Pas.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF BAYHAM:
1. THAT conveyance of that portion of the closed road allowance
between the south half of Lot No. One Hundred and Thirteen and
the South Half of Lot No. One Hundred and Fourteen,South
Talbot Road,as described in By-law No. 286, passed by the
Council of the Corporation of the Township of Bayham on
January 8, 1874, and registered as Instrument No. 5701 in the
Elgin Registry Office, and contained within that part shown as
Part Three of a Plan of Survey by John F. Weston,O.L.S., dated
March 21, 1952 (his Plan No. D-137), be made to Barbara Van
Der Pas.
2-: THAT the Reeve and Clerk be authorized to execute the afore-

BEING a by-law to amend By-law No. 1979, setting the time, place
and conduct of meetings of Council of the Township of Bayham.
WHEREAS By-law No. 1979 set the holding of the regular meetings
of Council of each month.
AND WHEREAS it is now considered necessary to change the time of
holding regular meetings of Council.
THEREFORE BE IT ENCACTED BY THE COUNCIL OF THE CORPORATION OF
THE TOWNSHIP OF BAYHAM
1. That Section 3 of By-law No. 1979 be amended to read:
(3) Meetings of the Council shall be held at the Council
Chambers adopted and used by the Council from time to
time for such purpose. The Inaugural Meeting of Council
shall take place at 10:00 A.M. on the First Thursday of
December following the election.
The regular meetings of Council shall be held on the
First Thursday of each month at 10:00 A.M. except during
the months of May, June, July, August, September,October
and November when the meetings shall be at 7:30 P.M.; and
on the Third Thursday of each month -at 7:30 P.M. unless
Council by resolution directs otherwise, in which case
a notice shall be posted in the municipal offices
advising of the time and place.
2. THIS By-law shall be effective upon Passing.

under its program "Municipal Action '85" by funding individual
municipal initiatives aimed at increasing productivity improving

AND WHEREAS this Municipality wishes to participate in the program.

WITNESSES THAT
WHEREAS the Province wishes to assist Ontario municipalities under
its program "Municipal Action 185" by funding individual municipal
initiatives aimed at increasing prod..ckt-ivity, improving dost
effectiveness, and refining staff expertise;
AND WHEREAS the Municipality wishes to participate in the program.
AND WHEREAS the Municipality by by-law No. A2;3 passed on the j,Fd

NOW THEREFORE in consideration of the mutual covenants herein
contained the parties agree as follows:
1. The Municipality shall undertake or have undertaken the Project,
hereinafter referred to as the "Project" to implement a Financial
Information System, in accordance with Schedule "A" attached hereto
and forming part of this Agreement.
2. The Project shall be completed on/or before the 30th day of
September, 1985, hereinafter referred to as "the completion date",
unless extended, up to a maximum period of six months, by mutual
consent of both parties. A penalty of 10% reimbursement of funds
to the Province may be imposed by the Province, if this condition
is not met.
3. The Province agrees to contribute to the actual cost of the
Project, the sum of Two Thousand, One Hundred Dollars ($21,100.00)
to be paid in the following manner:
The Province may make a payment of Two Thousand, One
Hundred Dollars ($2,100.00) to the Municipality as
soon as may conveniently be done after the signing
of this Agreement.

4. (a) In the event that the Project is not undertaken, the
Municipality agrees to return all monies advanced by the
Province, in accordance with section 3.
(b) In the further event that the Project although undertaken,
terminates prematurely for any reason, including termination
by the Province in accordance with section 10; the Province,
taking into account all the appropriate circumstances, may
determine, in its absolute discretion, that a portion of its
payment to the Municipality shall be returned by the
Municipality to the Province. The Municipality agrees to
forthwith make such repayment to the Province.
5. The Municipality shall provide the Province with a statement
certified by the Treasurer, setting out in such detail and in such
form as the Province may direct, the Project costs incurred or paid
by the Municipality in carrying out the Project. The Municipality
shall also provide to the Province invoices an-] receipts regarding
such costs, if so requested by the Province.
6. The Province or its agents may attend any meeting related to the
Project and to that purpose the Municipality shall advise the
Province of the time and place of all meetings in sufficient time
to facilitate attendance.
7. The Municipality shall at all times permit all staff or agents of
the Province to inspect any component of the Project. The
Municipality shall also submit to the Province progress reports at
such intervals as the Province may require.
8. All data, working papers and other documents prepared for or by the
Municipality in connection with this Project, including the
documentation, manuals or reports provided for in Schedule "A",
shall be and remain the sole propVty of the Municipality.
However, the Province shall at all times, after the completion of
the Project and in consultation with the Municipality, have the
right to publish or otherwise disseminate any such documentation,
manuals and reports, except for documentation, manuals or reports
which the Municipality is prohibited by any agreement to which it
is a party, from publishing or otherwise disseminating.
9. The Municipality shall indemnify and save harmless the Province
from and against all claims, actions, losses and expenses, costs or
damages of every nature and kind whatsoever which may be occasioned
as a 'result of the negligence of the Municipality or any consultant
or agent retained by the Municipality in connection with the
Project.
10. The Province may at any time, by written notice of at least seven
days to the Municipality, suspend or otherwise terminate this
Agreement.
11. Any notice herein provided for or given hereunder if given by the
Province to the Municipality shall be sufficiently given if mailed
to the Municipality by prepaid registered post addressed to it at:

BEING a by-law to authorize the Reeve and Clerk to execute an
agreement with HER MAJESTY THE QUEEN, in right of the Province of
Ontario as represented by the Minister of Municipial Affairs and
Housing, to enter into the implementation of the Basic accounting
Package as a part of the Municipal Action '85 program.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF BAYHAM
1) That the Reeve and Clerk are hereby authorized to execute an
agreement with HER MAJESTY THE QUEEN, in right of the Province
of Ontario as represented by the Minister of Municipal
Affairs and Housing, to implement the Basic accounting
Package as a part of the Municipality's participation in
the Municipal Action '85 program, said agreement being
Schedule A to this By-law, and to affix the Corporate Seal
of the Municipality thereto.

THIS AGREEMENT made in quadruplicate this day of / 198 .
BETWEEN: HER. MAJESTY THE QUEEN,? in right of
the Province of Ontario as
represented by the Minister of
Municipal Affairs and Housing,
hereinafter referred to as the
"Ministry",
OF THE FIRST PART,
AND:
hereinafter referred to as the
"Municipality",
WHEREAS as part of the Ministry's program Municipal Action '85, the
Municipality has undertaken the implementation of the Basic Accounting
Package (hereinafter referred to as "BACPAC") project, hereinafter
called the "Project"; it being understood and agreed however, that where
there is a conflict or discrepancy between any term or condition in this
Agreement and that of the BACPAC Check List marked "Appendix A" and
attached hereto, the term or condition of this Agreement shall prevail;
AMID WHEREAS the Municipality by by-law No.;Z2 passed on the g
day of 198 , has authorized the I�SL�.r-�.. and

Agreement on behalf of the Municipality;
NOW THEREFORE WITNESSETH THAT in consideration of the premises and
covenants contained herein the parties agree as follows:
1. It is agreed that the Municipality will undertake the Project in
accordance with the estimate of fees arra expenses attached hereto
and marked "Appendix B" and forming part of this Agreement.
2. It is agreed that the Oampl et ion Date of the Project shall be the

Municipality shall have reviewed all of the chapters set out in the
BACPAC manuals including those with respect to year-end reporting
which may not or cannot take place until the first four to six
months of 198._:: It is further agreed however, that the Completion
Date may be unilaterally extended by the Ministry in its absolute
discretion.
3. (a) The Municipality agrees to provide the Ministry with periodic
reports as support for the Ministry's payments and to ensure
that BACPAC is being implemented. The reports will be in the
form as set out in "Appendix A".
(b) The interim report will be required on or before the 71-'K day of
: ,.p_ , 198s. The final report will be required by the
Completion Date.

(c) It is further understood and agreed that the Ministry in its
absolute discretion may find the reports referred to in (a) and
(b) of this section to be unacceptable and may request further
explanation as it considers appropriate.
4. It is agreed that the Ministry will contribute the lesser of the
total cost of the Project or Five Thousand Dollars ($5,000.00)
which sum shall be allocated in the following manner:
(a) A payment of up
to Two Thousand
Five Hundred
Dollars
($2,500.00) may
be made by the
Ministry upon
receipt and
approval by the
Ministry of the
Municipality's
interim report.
(b) A further sum of up to Two Thousand Five Hundred Dollars
($2,500.00) or the unpaid balance due and payable under this
Agreement may be made by the Ministry when it is satisfied that
implementation by the Municipality has been crmpleted.
(c) If the Ministry, in its absolute discretion, finds the
implementation by the Municipality to be incomplete, the
Ministry may then reduce the sum payable to the Municipality
pursuant to clause (b) of this section and the Ministry, upon
making this payment, may then declare this Agreement to be
terminated pursuant to section 8.
(d) Notwithstanding the total cost of the Project,, the said Five
Thousand Dollars ($5,000.00) payable by the Ministry may be
applied both to professional fees and other expenses,
specifically charges for one -write systems including boards,
storage trays and related stationery and other stationery
including journals and ledgers.
5. The Municipality shall submit invoices with supporting information
to the Ministry in a form satisfactory to the Ministry.
6. The Ministry shall receive copies of all reports including copies
of the systems and procedures documentation and copies of reports
generated, charts of accounts and other documents prepared by or
for the Municipality in the course of carrying out the Project
and the Ministry may make this documentation available at no charge
to any other municipality in the Province to assist those other
municipalities in the installation of their own systems.
7. The Municipality shall indemnify and save harmless the Ministry
from and against all claims, actions, losses and expenses, costs or
damages of every nature and kind whatsoever which may be occasioned
as a result of the negligence of the Municipality or any consultant
or agent retained by the Municipality in connection with the
Project.
8. The Ministry may at any time by written notice suspend or terminate
this Agreement.
9. Any notice herein provided for or given hereunder if given by the
Ministry to the Municipality shall be sufficiently given if mailed
to the Municipality by prepaid registered post addressed to:

to the Ministry in a form satisfactory to the Ministry.
6. The Ministry shall receive copies of all reports including copies
of the systems and procedures documentation and copies of reports
generated, charts of accounts and other documents prepared by or
for the Municipality in the course of carrying out the Project
and the Ministry may make this documentation available at no charge
to any other municipality in the Province to assist those other
municipalities in the installation of their own systems.
7. The Municipality shall indemnify and save harmless the Ministry
frau and against all claims, actions, losses and expenses, costs or
damages of every nature and kind whatsoever which may be occasioned
as a result of the negligence of the Municipality or any consultant
or agent retained by the Municipality in connection with the
Project.
8. The Ministry may at any time by written notice suspend or terminate
this Agreement.
9. Any notice herein provided for or given hereunder if given by the
Ministry to the Municipality shall be sufficiently given if mailed

A By-law to provide for the Maintenance of the Arn,
Benner, Berdan-Cheesman, Bryant, Carnes "C",
Carruthers, Casier, Catfish Creek, Coomber 'A',
Coomber 'B', Coomber 'F', Corinth, Csinos, Deli,
Dereham/Bayham Townline, Fazakas-Slaught, Fearnley,
Fisher, Green, Grigg, Hampton, Mueller, Mitts, Nevill,
Pearson, Phillips, Ramsey, Scanlan, C. E. Smith, Stewart
Todd, Willson and Winter Municipal Drains and to raise the
sum of $12,021.23 to pay therefor.
WHEREAS the above mentioned drains were constructed under the provisions of
the Drainage Act, and according to the several by-laws of the municipality,
providing for such construction, and according to the various reports of the
Township Engineers made thereon.
AND WHEREAS it is provided by the said reports, by-laws and Drainage Act
that the municipality of the Township of Bayham, shall maintain the said
Drainage works, at the expense of the land and roads in the7ai1d..Townbhip
in any way assessed for the construction thereof, in the portion according
to such assessment, until such assessments or portions thereof, be varied.
AND WHEREAS in compliance with such duty, the Municipality has from time
to time,carried out certain minor repairs on the said drains.
AND WHEREAS it is desirable to make a pro rata assessment and levy
pursuant to the said Drainage Act, upon the lands and roads assessed for
the construction of the aforesaid drains, so as to provide for and raise
the cost of the said repairs and expenses incidental thereto which amount
in all to $12,021.23 to the lands and roads assessed, and the amount of
the assessments upon which the assessments and proportions hereby made are
fixed, appear upon attached Schedule of Assessments, which said Schedule
is a part of this by-law.
AND WHEREAS it is deemed expedient to levy the amounts in 1984.

NOW THEREFORE the Municipal Council of the Corporation of the Township
of Bayham enacts as follows:
1. That for the purpose of paying the.said repairs and expenses incidental
thereto or for repaying into the General Funds of the Municipality the
amount or cost thereof the sum of $ 6,745.92 the amount charged against the
lands of the drainage works, and now assessable for Maintenance, the
following total special rates and amounts as set out in the Schedule of
Assessments attached hereto and forming a part of this By-law, shall
over and above all other rates be assessed and levied and collected in the
same manner and at the same time as other taxes are levied and collected
upon and from the undermentioned lots or parts of lots as specified in
the attached schedule of assessments in the present year, 1984.
2. THAT for the purpose of paying the sum of $1,600.07 the amount
charged against said roads of the Municipality, and $339.50 the amount
charged against other Municipalities, the Province of Ontario, and
other Boards and Corporations for the aforesaid purpose, accounts shall
be levied against the roads of the Municipality and against the other
Municipalities, the Province of Ontario, and other Boards and
Corporations to pay the aforesaid amounts.
3. THAT the sum of $3,335.74 be charged to the Treasurer of Ontario
under the Drain Maintenance Grants Program for repairs to drains
serving agricultural lands.
READ A FIRST, SECOND AND THIRD TIME AND FINALLY PASSED THIS 18th, DAY
October, 1984.

CORPORATION OF THE
TOWNSHIP OF BAYHAM
BY - LAW NO. 2228
BEING a by-law to levy assessments for the Norfolk-Bayham Townline Drain
and to provide for the issue of debentures.
WHEREAS the Norfolk-Bayham Townline Drain was constructed under the
provisions of the Drainage Act by the Corporation of the Township of
Norfolk as authorized by By-law No. 781-84.
AND WHEREAS the actual cost of the drainage works assessed in the Township
of Bayham is $22,942.21 after grants under Section 85 of the Drainage
Act have been deducted.
AND WHEREAS it is now necessary to levy assessments upon lands and roads
to which the drainage works is chargeable and to provide that the
amounts may be payable in instalments.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF BAYHAM:
1) That the sum of $12,295.81 be levied against the lands as set
out in Schedule A, as attached hereto, to pay to the Corporation of
the Township of Norfolk, being the amounts assessed against lands in
the Township of Bayham for the construction of the Norfolk-Bayham
Townline Drain and provision be made for the amounts so imposed to be
payable in instalments.
2) That the sum of $10,646.40 be levied against the roads of the
Corporation of the Township of Bayham as set out in Schedule A as
attached hereto to pay to the Corporation of the Township of Norfolk,
being the amounts assessed for the construction of the aforesaid drain.
3) That the Corporation of the Township of Bayham may issue debentures
not exceeding $22,942.21 less commuted payments made in respect of lands
and roads assessed and such debentures shall be made payable within five
years from the date of the debenture and shall bear interest at a
rate not higher than the rate charged by the Ontario Municipal
Improvement Corporation on the date of sale of such debentures.
4) This By-law shall come into force upon approval of the Ontario
Municipal Board.

BEING a by-law to appoint an inspector under the Building Code Act.
WHEREAS the Building Code Act provides for the appointment of such
inspectors as may be necessary for enforcement of the Act.
AND WHEREAS it is now necessary to appoint an inspector to assist
the Chief Building Official.
THEREFORE BE IT ENACTED BY THE COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF BAYHAM
1) That Harry Salens be and is hereby appointed inspector in
and for the Township of Bayham to assist the Chief Building
Official as required for the enforcement of the Building

CORPORATION OF THE

BY-LAW NO. 2233
BEING a By-law to amend By-law No. 2209 providing for the
construction of the Crossett Municipal Drain Extension, and
levying assessments thereto.
WHEREAS By-law No. 2209 providing for the construction of
the Crossett Municipal Drain Extension under the provisions
of the Drainage Act, was passed by the Municipal Council of
the Corporation of the Township of Bayham on the 11th. day
of September, 1984.
AND WHEREAS the amount specified in the said By-law as the
Township of Bayham's share of the cost for the construction
of the said drain was $4770.
AND WHEREAS the actual cost of the work all expenses included
was $11,275. to which a grant of $1,046.98 has been applied
to agriculture lands and $5,794.73 is payable by the Township
of South West Oxford leaving a net cost of $4,433.29, being
$336.71 less than the estimated cost.
AND WHEREAS it is provided by The Drainage Act, that such
surplus fund shall be decreased in pro rata proportions to
the assessments contained in the original By-law each year
during which the debentures have to run.
THEREFORE BE IT ENACTED BY THE COUNCIL OF*THE COROPORATION
OF THE TOWNSHIP OF BAYHAM:
1. THAT the sum of $355.20 being the amount over estimated
as assessed against lands as provided in By-law 2209 be and
the same is hereby decreased in pro rata proportions to the
assessments as contained in the said By-law No. 2209 and
the amounts are shown on the schedule of assessments hereto
attached and which form a part of this By-law.
2. THAT the sum of $18.49 being the amount under estimated
as assessed against roads as provided for in By-law No. 2209
be and the same is hereby increased in pro rata proportions
to the roads assessed in By-law No. 2209, said amount is
hereby shown in the schedule of assessments hereto attached
and which form a part of this By-law.
3. THAT the said sum of $336.71 shall be deducted from the
amount of the total assessments contained in By-law No. 2209
and the debenturesto be issued as provided for in By-law No.
2209 shall be as provided for in By-law No. 2209.
4. THAT the interest rate on the said debentures as provided
for in By-law No. 2209 shall be fifteen per cent (15%) per annum.
5. This By-law comes into force on the final passing thereof
and may be cited as the "Crossett iItlnicipal Drain Extension
Amending By-law".

CORPORATION OF THE
TOWNSHIP OF BAYHAM
BY - LAW NO. 2238
Being a by-law to establish a
trust fund for the purposes of
the Ontario Home Renewal Program.
WHEREAS the method of accounting for the purposes of the Ontario Home
Renewal Program (Hereafter referred to as OHRP) has been revised to
require the establishment of a trust fund.
WHEREAS the Minister of Municipal Affairs and Housing by Ontario
Regulation 227/84 filed on April 10, 1984, among other things:
(a) requires the establishment of a trust fund for all monies
received under OHRP;
(b) requires pending the investment of any trust money, the
deposit of any OHRP funds in an interest bearing account
with any chartered bank of Canada, any Province of Ontario
Savings Office, any trust company or loan corporation
that is registered under The Loan nad Trust Corporations
Act, or in any credit union as defined in The Credit
Unions and Caisses Populaires Act and
(c) permits investment of any portion of the trust fund, not
required for immediate use for loans to homeowners, in
securities mentioned under clauses 26(e), (g) and (h)
of The Trustees Act.
NOW THEREFORE the Council of the Corporation of the Township
OF Bayham ENACTS as follows:
1. THAT THE OHRP reserve fund a.:counts and records of the
municipality be changed effective January 1, 1985 to
give due effect to the operatioe of the trust fund and
the conduct of the Ontario Home Renewal Program in
accordance with Ontario Regulation 227/84.
2. That the balance of the OHRP monies in the reserve fund
bank account or any other deposit account be transferred
on January 1, 1985, to a new and separate deposit account
to be operated in the Bank as the OHRP trust fund account.
3. That the Treasurer is hereby authorized to sign on behalf
of the municipality such instruments as the Bank requires
for the due operation of the said Trust deposit account.
4. That this by-law shall come into force on January 1, 1985.
