C., hsonburg, Ontario. 53—c1 BY-LAW NO. egit THE CORPORATION OF THE VILLAGE OF PORT BURWELL A By-Law authorizing the borrow- ing of Seventeen Thousand Dollars for the re-construction and equip- ment of part of the Public School Building in Port Burwell for School Section Number Two, Bayham, WHEREAS School Section Number Two, Bayham, is comprised of the Village of Port Burwell and part of the Township of Bayham both in the County of Elgin. AND WHEREAS the Village of Port Burwell has been requested by the School Section Number Two Bayham to raise the sum of Seventeen Thousand (417,000.00) Dollars for the purpose of the re-construction and equipment of part of the Public School Building in the Village of Port Burwell which was destroyed by fire-being the gymnasium and assembly hall. AND WHEREAS it is expedient for the said purpose to borrow for the financing thereof the said sum of Seventeen Thousand 417,000.00) Dollars upon the credit of the Corporation, and to issue debentures therefor bearing interest at the rate of five per centum (5%) from the date of issue until maturity and to provide for the discount and the expenses incidental to negotiation and sale of such debentures; AND WHEREAS it is expedient to make the principal of the said debt repayable in annual instalments during the period of ten years next after the date of issue of such debentures, of such amounts respectively that, with the interest in respect of the debt, the aggregate amount payable for principal and interest in each yeqr shall be as nearly as possible the same; subject to the proviso that each instalment of principal may be for an even §100.00, 4500.00 or 41000.00, or multiple thereof, and, that notwithstanding anything herein contained, the annual instalment of principal and interest may differ in amount sufficiently to admit thereof; AND WHEREAS the amount of the Whole rateable property of the Municipality, according to the last revised assessment roll -2- thereof is 32$5,101.00; AND ,iHERREAS there is no existing debenture debt of the Corporation. AND tiHEREAS by Order dated the twelfth day of January, 1953, the Ontario Municipal Board has approved the purpose of the said borrowing and the passing of all requisite By-laws, including debenture By-laws; THEREFORE the Council of the Corporation of the Village of Port Burwell enacts as follows: 1. For the purpose aforesaid the Corporation shall borrow upon the credit of the Corporation a sum not exceeding Seventeen Thousand (17,000.00) Dollars, and shall issue debentures therefor in sums of not less than ,100.00 each. Each debenture shall bear interest at the rate of five per centum (5;4) per annum from the date of issue until the date of payment payable annually and shall have coupons attached thereto for the payment of such interest. 2. All the debentures shall bear the same date, shall be issued at one time and within two years after the day on which this By-law is passed, may bear any date within such two years and shall be made payable in annual instalments during the period of ten years next after the date of issue thereof, and the respective amounts of principal and interest payable in each of such years shall be the amount so designated in Schedule fAtn hereto annexed. 3 . The debentures shall be payable as to both principal and interest in lawful money of Canada and may be made payable at such place or places in Canada as shall be designated thereon. 4. The said debentures shall be sealed with the Seal, of the Corporation and signed by the Reeve, or by some other person authorized by by-law to sign the same, and by the Treasurer. The said interest coupons shall be signed by the Treasurer and his signature thereon may be written,stamped, lithographed or engraved. 5. Commencing in the year 1953 and thereafter in each year- in -3- which an instalment of principal of the said debt and interest become due, the Corporation shall levy and raise the specific sum shown for the respective year in the fourth column of the said Schedule. Such sum shall be levied and raised by a special rate sufficient therefor, over and above all other rates, upon all the rateable property of public school supporters in the said School Section Number Two Bayham which is in the municipality. Provided however that in each year in which an instalment of principal of the said debt and interest become due, the Treasurer of the Village of Port Burwell shall request the School Section Number Two Bayham Board and the Council of the Township of Bayham to arrange to pay to the Village of Port Burrell the proportionate share of the said amount payable by the said Township of Bayham on that part of the said School Section Number Two Bayham which is in the Township of Bayham in accordance with the provisions of the Public Schools Act or any amendment, substitution or any other law which may be in force from time to time. The amounts received each year from that source shall be used to reduce the amount to be levied by the Village of Port Burwell . 6. The said debentures may contain a clause providing for the registration thereof pursuant to Section 335 of The Aunicipal Act. 7. Pending the sale of the said debentures, the Reeve and the Treasurer may raise for the purposes aforesaid by way of loan on such debentures any sum or sums of money not e:_ceeding in all the sum hereby authorized to be borrowed and may hypothecate such dbbentures for such loan. $, The Corporation shall have the right, at its option, to redeem that portion of the said debentures which mature in the tenth year either in whole or in part on any date prior to maturity at the places where and in the moneys in which the said debentures are expressed to be payable, upon payment of the principal amount thereof together with interest accrued to the date of redemption and upon giving previous notice of said intention to redeem by advertising once in the Ontario Gazette and once in a daily newspaper of general provincial circulation, published in the City of Toronto, and once in a local newspaper, such notice to be advertised as aforesaid at -1k- least thirty days before the date fixed for redemption. Notice of intention so to redeem shall also be sent by post at least thirty days prior to the date set for such redemption to each person in whose name a debenture so to be redeemed is registered at the address shown in the Debenture Registry Book. 9. The proceeds from the sale of the said debentures or the sum of money borrowed thereon shall be forthwith paid to the School Section Number Two Bayham Board. 10. This By-Law shall not become valid until a By-Law approving of the same shall be passed by the Council of the Corporation of the Township of Bayham. AND WHEREAS, by Order dated the 12th day of January 1953 the passing of the said By-Law was duly approved by the OntPrio Municipal Board; AND WHEREAS the said By-Law does not require the assent of the electors or of those qualified to vote on money by-laws; AND WHEREAS the Corporation desires to borrow money as temporary advances pending tie issue and sale cf the said debentures; NOW, THEREFORE, THE COUPCIL OF THE CORPORAMN Off: OF the Village of Port Burwell HERE!-.T ENACTS AS FUMES: 1. The Corporation agrees to borrow and doth hereby authorize the borrowing from The Canadian Bank of Cormerce as temporary advances pending the issue and sale of the debentures above recited such suras as may be required but not exceeding a total of $17,000.00 on the terms and subject to the conditions set forth in, this By-Law. 2. Within the limit aforesaid and as moneys are required from time to time for the purpose above recited, the Head and Treasurer, acting on behalf of the Corporation, are hereby authorized to borrow moneys from the said Bank for the said purpose pending the issue and sale of the debentures authorized as aforesaid and to sign and deliver to the said Bank such promissory note or notes as may be required for the repayment of the moneys borrowed at such time or times said at such rate of interest as may be agreed upon with the said Bank, but not exceeding the rate of 5 per cent peat annum, and to affix the corporate seal of the Corporation to such promissory note or notes. I 2. 3. The Head and Treasurer are hereby authorized to assign and pledge the said debentures to the said Bank upon the issue thereof to be held by the said Bank as collateral security for all moneys borrowed under this By-Law and interest thereon and to assign to the said Bank the moneys growing due from the sale of the said debentures; and the proceeds of the sale of the said debentures, or so much thereof as may be necessary, shall be paid to the said Bank in satisfaction of the moneys borrowed under this B.-Law and interest thereon.
